Participation in Annual Performance Pay Plan. Beginning on the Effective Date and for the remainder of the Term, Employee shall participate in the Halliburton Annual Performance Pay Plan (the "Performance Plan"), or, any successor annual incentive plan approved by the Compensation Committee; provided, however, that all determinations relating to Employee's participation, including, without limitation, those relating to the performance goals applicable to Employee and Employee's level of participation and payout opportunity, shall be made in the sole discretion of the person or committee to whom such authority has been granted pursuant to such plan's terms. For the 2006 plan year, Employee will be afforded a reward opportunity of (a) not less than sixty-five percent (65%) of his base salary if the plan level performance objectives are achieved or (b) not less than one hundred and thirty percent (130%) of his base salary if the challenge level performance objectives are achieved, in accordance with the terms and conditions of the Performance Plan. Employee's reward under the Performance Plan, if any, shall be prorated based upon that portion of the plan year during which he was an active participant. Notwithstanding the foregoing, Employee's participation in the Performance Plan shall terminate as of the date on which the compensation committee of KBR Holdings LLC or a direct or indirect parent of KBR Holdings LLC adopts an annual performance pay plan that is substantially similar to the Performance Plan.

  • Long-Term Incentive Awards The Executive shall participate in any long-term incentive awards offered to senior executives of the Company, as determined by the Compensation Committee.

  • Annual Performance Bonus In each calendar year of the Term of Employment, Executive shall be eligible to receive an annual incentive bonus (the “Annual Bonus”) payable in cash, pursuant to the performance criteria and targets established and administered by the Board (or a committee of directors to whom such responsibility has been delegated by the Board), with a target Annual Bonus of at least 100% of his Base Salary. The Annual Bonus payable to Executive each year shall be determined and payable as soon as practicable after year-end for such year (but no later than March 15th). The Executive’s cash bonus for the stub period of 2017 will be determined in the reasonable business judgment of the Board or another committee of directors to whom such responsibility has been delegated by the Board. To be entitled to receive any Annual Bonus, except as otherwise provided in Sections 5(c) and 5(d), Executive must remain employed through the last day of the calendar year to which the Annual Bonus relates.

  • Participation in Plans Notwithstanding any other provision of this Agreement, the Executive shall have the right to participate in any and all of the plans or programs made available by the Company (or it subsidiaries, divisions or affiliates) to, or for the benefit of, executives (including the annual stock option and restricted stock grant programs) or employees in general, on a basis consistent with other senior executives.
