Additional Effects of Termination or Expiration. Termination or expiration of this Agreement shall not affect the continuing validity and enforceability of Sections 5.02, 5.03, 5.04, 5.05, 5.06, 5.07, 6.01, 6.02, 6.06, Articles 7, 8, 9, 10, 11 and 12 and the applicable definitions in Article 1 of this Agreement. All confidential information provided under the Agreement shall be returned to the respective Parties within ninety (90) days of the termination date, except as otherwise contemplated by this Agreement and except as to confidential information required by the Parties to exercise their respective rights under this Agreement.

Additional Effects of Termination or Expiration. Upon the effective date of any termination or expiration of this Agreement or an Order by either party: (a) all rights and licenses granted to the Customer hereunder will terminate and the Customer shall not seek to continue to use the Product; and (b) the Customer shall uninstall, remove, and destroy UI Bakery, Documentation, and any whole or partial copies, modifications, or merged portions in any form; (c) each party will immediately return to the other party all Confidential Information in its possession, custody or control in whichever form held (including all copies or embodiments of the Confidential Information); (d) all fees the Customer may owe will become immediately due and payable. On termination of this Agreement, all existing Orders shall terminate unless otherwise agreed between the parties. For the avoidance of doubt, termination of an Order shall not result in the termination of this Agreement or any other Order unless agreed in writing between the parties. The Customer will not be entitled to any compensation or reimbursement of any expenses based on the expiration or termination of this Agreement or an Order.

In the event the Consultant has initiated termination, the Consultant shall be entitled to compensation only for the reasonable value of the work product actually produced hereunder. In the event of termination without cause pursuant to this Section, the terminating party need not provide the non-terminating party with the opportunity to cure pursuant to Section 7.2.
