Not later than August 31, 1999, Borrower shall execute and deliver to the Lenders an amendment and supplement to the Warrant Agreement dated as of July 31, 1996, among Vari-Lite International, Inc. and certain of the Lenders, amendments of the common stock purchase warrants issued pursuant to the terms of such Warrant Agreement, and additional common stock purchase warrants to Chase Bank of Texas, N.A., all in form and substance satisfactory to the Lenders, implementing and effecting the requirements of the letter agreement referred to in SECTION 2(b) of Amendment No. 5.
