Copies of the certificate of incorporation of the Borrower, together with all amendments thereto, certified by the Secretary of State of Florida, together with good standing certificates (i) as to the Borrower, from the State of Florida and (ii) as to RJA, from the States of Florida, New York and Michigan.

Copies of the certificate of incorporation (or equivalent or comparable constitutive document with regard to any non-U.S. jurisdiction) of such Designated Subsidiary, together with all amendments thereto, certified by the appropriate governmental officer in its jurisdiction of incorporation, together with a good standing certificate (if applicable) issued by the Secretary of State or comparable official of the jurisdiction of its organization and such other jurisdictions as shall be requested by the Administrative Agent as well as any other information required by Section 326 of the USA PATRIOT ACT or necessary for the Administrative Agent or any Lender to verify the identity of such Designated Subsidiary as required by Section 326 of the USA PATRIOT ACT.

Copies of the certificate of incorporation of such Designated Subsidiary, together with all amendments thereto, certified by the appropriate governmental officer in its jurisdiction of incorporation, together with a good standing certificate issued by the Secretary of State or comparable official of the jurisdiction of its organization and such other jurisdictions as shall be requested by the Administrative Agent as well as any other information required by Section 326 of the USA PATRIOT ACT or necessary for the Administrative Agent or any Lender to verify the identity of such Designated Subsidiary as required by Section 326 of the USA PATRIOT ACT.
Charter Documents; Good Standing Certificates. Agent shall have received copies of the charter documents of New Borrower, certified by the Secretary of State or other appropriate official of New Borrower’s jurisdiction of organization. Agent shall have received good standing certificates for New Borrower, issued by the Secretary of State or other appropriate official of New Borrower’s jurisdiction of organization and each jurisdiction where such New Borrower’s conduct of business or ownership of Property necessitates qualification.
Charter Documents; Good Standing Certificates. You shall have received (i) a copy, certified by the applicable Secretary of State to be true and complete as of a date not more than five (5) days prior to the Closing Date, of the Charters of the Company and each of its Subsidiaries, (ii) a copy, certified by a duly authorized officer of the Company to be true and complete as of the Closing Date, of the by-laws of each of the Company and its Subsidiaries, and (iii) certificates, dated not more than 15 days prior to the Closing Date, of the applicable Secretary of State as to the Company's and each of its Subsidiaries' corporate good standing or qualification to do business, as the case may be, in such state.
