California Law; Venue. 26.1. This Agreement has been executed and delivered in the State of California and the validity, enforceability and interpretation of any of the clauses of this Agreement will be determined and governed by the laws of the State of California. The Construction Manager consents to personal jurisdiction in California.

The exclusive venue for any disputes or legal actions shall be the Superior Court of California in and for the County of San Mateo or the US District Court, Northern California District.

The parties also unconditionally and irrevocably waive any right to remove any such suit, action, or proceeding to Federal Court.
