Amendment of Section 9. 03. In respect of the 2018 Notes only, the provisions of Section 9.03 of the Indenture are amended by deleting the text of such Section in its entirety and inserting in lieu thereof the phrase “[intentionally omitted]”. Such provisions shall be deemed not to have been deleted in respect of the 2021 Notes.
Amendment of Section 9. 04. Section 9.04 of the Agreement is amended to read in its entirety as follows:

Amendment of Section 9. Section 9 of the Warrant is hereby amended and restated in its entirety as follows: “[RESERVED]”
Amendment of Section 9. 01(c) of the Original Trust Indenture. Section 9.01(c) of the Original Trust Indenture is hereby amended by (a) inserting "and" immediately prior to clause (ii) thereof and (b) deleting clause (viii) thereof and the "and" which immediately precedes such clause.
Amendment of Section 9. 9. SECTION 9.9 of the Loan Agreement is hereby deleted in its entirety and replace with the following:
Amendment of Section 9. 1. Effective as of the date hereof, Section 9.1.5 of the Loan Agreement is hereby amended and restated in its entirety to read as follows:
Amendment of Section 9. 02. The reference to “Trizec Merger” in the first sentence of Section 9.02 of the Merger Agreement hereby is amended to read “Mergers.”
Amendment of Section 9. 1. The reference to June 30, 2010 in Section 9.1 of the Agreement (as amended by Amendment No. 2) is hereby changed to December 31, 2010.
