Representations and Warranties; Certificate. The representations and warranties of the Servicer, the Seller and the Depositor set forth or incorporated by reference in this Insurance Agreement shall be true and correct in all material respects as of the Date of Issuance as if made on the Date of Issuance and the Insurer shall have received a certificate of appropriate officers of the Servicer, the Seller and the Depositor to that effect.

The representations and warranties of each COAF Company set forth or incorporated by reference in this Insurance Agreement shall be true and correct as of the Date of Issuance as if made on the Date of Issuance, and the Note Insurer shall have received a certificate of appropriate officers of each COAF Company to that effect.

The representations and warranties of the Triad Parties set forth or incorporated by reference in this Insurance Agreement and the representations and warranties set forth by the Indenture Trustee in the Indenture are true and correct on and as of the Closing Date as if made on the Closing Date, and the Insurer has received a certificate of appropriate officers of the related Triad Party to that effect;

The representations and warranties of the Issuer, the Master Servicer, the Seller, the Administrator and the Depositor set forth or incorporated by reference in this Insurance Agreement shall be true and correct as of the Date of Issuance as if made on the Date of Issuance, and the Insurer shall have received a certificate of appropriate officers of the Issuer, the Master Servicer, the Seller, the Administrator and the Depositor to that effect.

The representations and warranties of each of AmeriCredit, the Company and AFS SenSub in this Agreement shall be true and correct as of the Date of Issuance with respect to such Person as if made on the Date of Issuance and Financial Security shall have received a certificate of appropriate officers of the Owner Trustee, AmeriCredit, the Company and AFS SenSub, as the case may be, to that effect.
