Reasonable Terms. Employee acknowledges and agrees that the restrictive covenants contained in this Agreement have been reviewed by Employee with the benefit of counsel and that such covenants are reasonable in all of the circumstances for the protection of the legitimate interests of the Company.

Reasonable Terms. Employee agrees that the geographic areas, duration and scope of activities outlined in this Agreement are reasonable under the circumstances. Employee further agrees that such terms are no broader than necessary to protect the Company’s business and maintain the confidentiality of the Confidential Information. Employee further agrees that the terms of this Agreement are not oppressive and will not impose an unreasonable burden or restraint on Employee.
Reasonable Terms. By execution below, Employee agrees that the geographic areas, duration and scope of activities outlined in this Section 5 are reasonable. Employee further agrees that (a) such terms are no broader than necessary to protect the Company’s business, (b) such terms are necessary to protect and maintain the Company’s interest in Confidential Information with respect to which Employee has or shall have access, and (c) such terms are not oppressive and will not impose an unreasonable burden or restraint on Employee. The Company agrees that the provisions of this Section 5 shall not be construed to prohibit the acquisition by Employee of less than 5% of any class of securities issued by a publicly traded company.
Reasonable Terms. The Employee has carefully considered the nature and extent of the restrictions upon him and the rights and remedies conferred upon the Company under this Agreement, and hereby acknowledges and agrees that the same are reasonable in time and territory, are designed to eliminate competition which otherwise would be unfair to the Company, do not stifle the inherent skill and experience of the Employee, are fully required to protect the legitimate interests of the Company, and do not confer a benefit upon the Company disproportionate to the detriment of the Employee.
