Payment to the Issuer. After payment in full of the Series [____] Notes, any amount remaining on deposit in the Interest Funding Account will be paid to the Issuer. If the aggregate amount available for withdrawal from the Interest Funding Account is less than all withdrawals required to be made from the Interest Funding Account, then the aggregate amount on deposit will be withdrawn and, if payable to more than one Person, applied pro rata based on the respective amounts of the withdrawals required to be made.

Payment to the Issuer. Upon payment in full of the Series 2002-B Notes, any remaining amount on deposit in the Principal Funding Account will be paid to the Issuer. Payment to the Issuer. Subject to the receipt by DBZH of the documents listed in Article VIII, on December 15, 2000, DBZH, on behalf of the Managers will pay to the Issuer the net proceeds of the Bonds (Issue Price minus the commission and expenses mentioned in Article V) of CHF 173,843,750 in same day funds against delivery of the Global Bond Certificate to DBZH pursuant to Article VIII. Subject to any Swiss National Bank or other regulations which may be in force on the Closing Date, such net proceeds will be at the free disposal of the Issuer and shall not entitle the Issuer to any interest thereon. The respective instruction(s) - also containing the transfer details - signed by a duly authorized person of the Issuer, shall be received by DBZH, Zurich at the latest at 09:00 a.m. (Zurich time) two business days in Zurich prior to the Closing Date in order to ensure their execution with the value being the Closing Date.
Payment to the Issuer. The Placement Agent agrees that it will, on the Closing Date, direct that the Lender transfer to the Issuer the Lender’s Purchase Price, in immediately available funds. If the Lender does not deposit with or as directed by the Issuer the Lender’s Purchase Price of the Series 2022 Bonds to be purchased by it or otherwise refuses to purchase the Series 2022 Bonds, the Placement Agent will use its reasonable best efforts to arrange for a substitute Lender for the Series 2022 Bonds on the terms set forth in Section 3.

  • RECITALS OF THE ISSUER The Issuer has duly authorized the execution and delivery of this Indenture to provide for the issuance from time to time of its debentures, notes or other evidences of indebtedness (the “Securities”), to be issued in one or more series as set forth in this Indenture.   • Redemption at the Option of the Issuer If so specified in the applicable Pricing Supplement, the Issuer may, having (unless otherwise specified in the applicable Pricing Supplement) given not more than 60 nor less than 30 days’ notice to the Trustee and the holders of the Notes of this Series in accordance with Condition 15 (which notice shall be irrevocable), repay all or some only of the Notes of this Series then outstanding (as defined in the Trust Deed) on the Optional Redemption Date(s) and at the Optional Redemption Amount(s) indicated in the applicable Pricing Supplement together, if appropriate, with accrued interest. In the event of redemption of some only of such Notes of this Series, such redemption must be for an amount being the Minimum Redemption Amount or a Maximum Redemption Amount, as indicated in the applicable Pricing Supplement. In the case of a partial redemption of Definitive Notes of this Series, the Notes of this Series to be repaid will be selected individually by lot not more than 60 days prior to the date fixed for redemption and a list of the Notes of this Series called for redemption will be published in accordance with Condition 15 not less than 30 days prior to such date. In the case of a partial redemption of Notes which are represented by a Global Note, the relevant Notes will be redeemed in accordance with the rules of Euroclear and/or Clearstream and/or CMU, as the case may be.
