AGENT NOT FIDUCIARY. 13.1 The Company acknowledges and agrees that all written and oral opinions, advice, analysis and material provided by the Agent in connection with this Agreement is intended solely for the Company’s benefit and the Company’s internal use only with respect to the Offering. The Company agrees that no such opinions, advice, analysis or material will be used for any other purpose whatsoever or reproduced, disseminated, quoted from or referred to in whole or in part at any time. Any advice or opinions given by the Agent hereunder will be made subject to , and will be based upon, such assumptions, limitations, qualifications and reservations as the Agent may, its sole discretion, deem necessary or prudent in the circumstances.

AGENT NOT FIDUCIARY. The Corporation acknowledges and agrees that: (a) the Agent has not assumed nor will assume a fiduciary responsibility in favour of the Corporation with respect to the Offering contemplated hereby or the process leading thereto and the Agent does not have any obligation to the Corporation with respect to the Offering contemplated hereby except the obligations expressly set forth in this Agreement; (b) the Agent and its respective affiliates may be engaged in a broad range of transactions that involve interests that differ from those of the Corporation; and (c) the Agent has not provided any legal, accounting, regulatory or tax advice with respect to the Offering contemplated hereby and the Corporation has consulted its own legal, accounting, regulatory and tax advisors to the extent it deemed appropriate.
