Ownership and Nondisclosure of Proprietary Information. All Proprietary Information is the sole property of Company, Company’s assigns, and Company’s customers, and Company, Company’s assigns and Company’s customers shall be the sole and exclusive owner of all patents, copyrights, mask works, trade secrets and other rights in the Proprietary Information. I hereby do and will assign to Company all rights, title and interest I may have or acquire in the Proprietary Information. At all times, both during my employment by Company and after termination of such employment, I will keep in confidence and trust all Proprietary Information, and I will not use or disclose any Proprietary Information or anything directly relating to Proprietary Information without the written consent of Company, except as may be necessary in the ordinary course of performing my duties as an employee of Company.

Nothing in this Agreement will limit my ability to provide truthful information to any government agency regarding potentially unlawful conduct. If I have any questions as to whether information is Proprietary Information, or to whom, if anyone, inside Company, any Proprietary Information may be disclosed, I will ask my manager at Company.

Notwithstanding anything to the contrary herein contained, it is agreed and understood that Proprietary Information shall not include information which: (i) is in or thereafter enters the public domain through no fault of mine, (ii) is obtained by me from a third party having the legal right to use and disclose the same, (iii) was rightfully in my possession, free of any obligation of confidence, at or subsequent to the time such information was communicated to me by the Company, or (iv) was developed by me, my employees or agents of mine independently of and without reference to any Proprietary Information communicated to me by the Company during my Employment Term (as defined in that certain Employment Agreement between me and the Company dated as of even date herewith).

At all times, both during the term of this Agreement and after termination of this Agreement, Drake and the Advisor shall keep in confidence and trust all Proprietary Information and will not disclose any Proprietary Information to any person or entity other than the Company or use any Proprietary Information other than in connection with the Advisor’s performance of the Advisory Services for the benefit of the Company, in each case, without the prior written consent of the Company.

At all times, both during my employment by Phenomix and after termination of such employment, I will keep in confidence and trust all Proprietary Information, and I will not use or disclose any Proprietary Information or anything directly relating to Proprietary Information without the written consent of Phenomix, except as may be necessary in the ordinary course of performing my duties as an employee of Phenomix.
