Powers and authority. It has the power to enter into and perform, and has taken all necessary action to authorise the entry into and performance of, the Finance Documents to which it is or will be a party and the transactions contemplated by those Finance Documents.

(a) Subject to Section 2.09 hereof, the Trust has been created for the purpose of purchasing and owning student loans, issuing Notes from time to time, pledging its interest in student loans and other collateral under the terms of the Indenture to secure the Notes and performing activities that are necessary, suitable or convenient to accomplish those purposes, including without limitation, the following:

The Republic has full power and authority to execute and deliver each of this Agreement, the Indenture and the Notes and all other documents and instruments to be executed and delivered by the Republic hereunder and thereunder (including the Authorization contemplated thereunder), to incur the obligations to be incurred by it as provided herein or therein, and to perform and observe the provisions hereof and thereof on its part to be performed or observed and to issue and sell the Notes and to perform the terms thereof.
