Share Transfer Documents. The Company Shareholders shall have delivered or caused to be delivered to Parent duly completed and executed share transfer forms in relation to all of the Company Ordinary Shares and Company Class A Shares outstanding at the Effective Time, and any waivers, consents, or other documents required to vest in Parent the full legal and beneficial ownership of all of the outstanding Company Ordinary Shares and Company Class A Shares.
Share Transfer Documents. The Shareholder shall have delivered to Acquiror Company certificate(s) representing the Company Stock, accompanied by a duly executed instrument of transfer for transfer by the Shareholder of the Company Stock to Acquiror Company.

Share Transfer Documents. The Shareholders shall have delivered to IGNG the original certificate(s) representing its GBI Stock, accompanied by a duly executed stock transfer power for transfer by the Shareholders of their GBI Stock to IGNG.

Each Shareholder shall have delivered, or caused to be delivered, to Purchaser share certificates evidencing the Shares (or an affidavit of loss in form and substance reasonably satisfactory to Purchaser), free and clear of Encumbrances, together with an assignment separate from certificate duly executed in blank and an IRS Form W-8 or W- 9, as applicable.
