Payment of Outstanding Invoices. Payment by the Borrower to the Administrative Agent of all fees and other amounts due and payable on or prior to the First Amendment Effective Date, including, to the extent invoiced, reimbursement or payment of all out-of-pocket expenses required to be reimbursed or paid by the Borrower.

The Administrative Agent is hereby authorized and directed to declare this Amendment to be effective and to declare the occurrence of the First Amendment Effective Date when it has LEGAL_US_W # 91530063.6 received documents confirming compliance with the conditions set forth in this Section 3 or the waiver of such conditions in accordance with Section 12.02 of the Credit Agreement. Such declaration shall be final, conclusive and binding upon all parties to the Credit Agreement for all purposes. For purposes of determining compliance with the conditions specified in this Section 3, each Lender that has signed this Amendment shall be deemed to have consented to, approved or accepted, or to be satisfied with, each document or other matter required thereunder to be consented to or approved by or acceptable or satisfactory to such Lender, unless the Administrative Agent shall have received written notice from such Lender prior to the First Amendment Effective Date specifying its objection thereto.
Payment of Outstanding Invoices. On termination or expiration of this Agreement, the Client shall pay any amounts it owes to Eddyfi.

Payment by the Borrower to the Administrative Agent of (a) an amendment fee of $200,000 for the ratable benefit of the Lenders, (b) the fees set forth in the fee letter among Holdings, the Borrower and the Administrative Agent dated as of June 2, 2009, and (c) all other fees and other amounts due and payable on or prior to the Third Amendment Effective Date, including, to the extent invoiced, reimbursement or payment of all out-of-pocket expenses required to be reimbursed or paid by the Borrower (including, without limitation, the fees and expenses of Xxxxxx & Xxxxxx L.L.P., counsel to the Administrative Agent).
