Consulting Services from October 1, 2016, Through May 31, 2017. During the period beginning October 1, 2016, and ending May 31, 2017 (“Consulting Period”), Xx. Xxxxxxxx agrees to perform such consulting services for Getty as may be reasonably requested by Getty from time to time. Xx. Xxxxxxxx may be requested to provide consulting services by telephone, e-mail or in person (as reasonably determined by Getty in accordance with the nature of the services and Xx. Xxxxxxxx’x schedule, including any new employment obligations); provided, however, that the level of services performed during the Consulting Period shall not exceed the number of hours necessary to perform the requested services, and in no event shall the level of services provided, or to be provided, exceed 20% of Xx. Xxxxxxxx’x average level of services during the 36 month period prior to the September 30, 2016 or otherwise cause Xx. Xxxxxxxx to fail to incur a “separation from service” no later than that date for purposes of Section 409A of the Internal Revenue Code of 1986, as amended (“Code”). In consideration for his services during the Consulting Period and providing the effective release required by this Agreement, Getty shall pay Xx. Xxxxxxxx consulting fees as follows: $20,000.00 per month for the period from October 1, 2016, through October 31, 2016; and $12,500.00 per month for the period November 1, 2016, through May 31, 2017. All consulting fees payable under this Section 3 shall be paid monthly in arrears on the Company’s first regular payroll date following the end of the month for which they are payable. Xx. Xxxxxxxx shall be reimbursed by Getty for his reasonable and necessary out-of-pocket expenses incurred in performing the requested services during the Consulting Period, provided he submits appropriate documentation of such expenses to Getty and complies with Getty’s written expense reimbursement policies generally in effect from time-to time which are communicated to Xx. Xxxxxxxx. As additional consideration for making himself available to provide consulting services during the Consulting Period and providing the effective release required by this Agreement, on October 1, 2016, all of Xx. Xxxxxxxx’x unvested restricted stock units granted under the Incentive Plan shall become fully vested and shall be settled in accordance with their terms.

  • Contract Duration and Annual Salary 1. The College hereby employs the Administrator in the capacity of Controller, Associate Professor for one year(s), commencing on July 1, 2021 and terminating on June 30, 2022.   • Distributions; Xxxxxx Xxx Guaranty On or before each Determination Date (or as soon thereafter as is reasonably practicable), Xxxxxx Mae shall calculate the Lower Tier Distribution Amount for the current calendar month. On each Distribution Date, Xxxxxx Xxx shall withdraw from the Certificate Account the portion of the Lower Tier Distribution Amount distributable thereon and shall make the distributions to the Holders of the related Lower Tier Regular Classes in the respective amounts and in the applicable manner determined pursuant to Section 2.02. In the event that the amount on deposit in the Certificate Account on any Distribution Date shall be less than the applicable portion of the Lower Tier Distribution Amount distributable thereon, Xxxxxx Mae shall provide from its own funds the amount of any such insufficiency. In addition, in the event that (i) the applicable portion of the Lower Tier Distribution Amount shall be insufficient to pay all interest due and payable on the related Lower Tier Regular Classes on such Distribution Date or (ii) such Distribution Date is a Final Distribution Date for any Class and the distribution on such Distribution Date of the applicable portion of the Lower Tier Distribution Amount will not be sufficient to reduce the Class Balance of such Class to zero on such Final Distribution Date, then Xxxxxx Xxx shall (a) withdraw from the Certificate Account, such amount as shall be necessary to remedy such insufficiency and (b) to the extent that funds in the Certificate Account shall be insufficient therefor, apply its own funds towards remedying the same.

  • Multi-Year Planning The CAPS will be in a form acceptable to the LHIN and may be required to incorporate (1) prudent multi-year financial forecasts; (2) plans for the achievement of performance targets; and (3) realistic risk management strategies. It will be aligned with the LHIN’s then current Integrated Health Service Plan and will reflect local LHIN priorities and initiatives. If the LHIN has provided multi-year planning targets for the HSP, the CAPS will reflect the planning targets.

  • Monthly Management Fee Payment On the first business day of each month, each class of each Fund shall pay the management fee to the Investment Manager for the previous month. The fee for the previous month shall be the sum of the Daily Management Fee Calculations for each calendar day in the previous month.
