Dedication. Upon the completion of construction and installation of the Facilities, Grantee shall dedicate all of said Facilities and all easements and rights-of-way necessary to service and maintain said Facilities, without restriction, to the Town.
Dedication. Executive shall devote his full business time and best efforts to the business and affairs of the Company.
Dedication. A. Subject to all of the other provisions of this Agreement and the Exhibits hereto attached, the Developer shall, without charge to the City, upon completion of all of the above-described improvements, unconditionally give, grant, convey and fully dedicate the same to the City, its successors an assigns, forever, free and clear of all encumbrances whatever, together with, all structures, mains, conduits, pipes, lines, equipment and appurtenances which may in any way be part of or pertain to such improvements and together with any and all necessary easements for access thereto. After such dedication, the City shall be responsible for all maintenance and improvements to said facilities and shall have the right to connect or integrate other sewer or water facilities with those facilities provided hereunder as the City decides, with no payment or award to, or consent required of, the Developer. The Developer agrees to file with the City an Irrevocable Letter of Credit from a lending institution approved by the City issued in favor of the City, prior to the commencement of construction, in an amount equal to the costs of all improvements plus ten percent for each phase in a form reasonably approved by the City Engineer and City Attorney. No construction shall commence until such a Letter of Credit is on file with the City. The Letter of Credit shall be in an amount sufficient to pay any costs incurred by the City for completion of all improvements in each applicable phase (see Section I) to include all survey monuments in accordance with Section III herein. The Letter of Credit shall be released when the requirements of this Developer’s Agreement are fulfilled or within fourteen months after final completion of improvements, whichever comes later. The Developer agrees to provide the City Engineer with the Statement of Costs discussed in Section III, which shall be approved by the City Engineer prior to furnishing the Letter of Credit. Dedication shall not constitute acceptance of any Improvement by the City. All improvements will be accepted by the City by separate resolution at such time as said improvements are in acceptable form and conform to City specifications after the issuance of an appropriate letter of acceptance by the City Engineer. Dedication. (a) Subject to the provisions of Section 4.1 through Section 4.4 and Article 17, Customer exclusively dedicates and commits to deliver to Provider under this Agreement all:
Dedication. Subject to the exceptions, exclusions, and reservations set forth in the Agreement and the other terms and conditions of the Agreement, Producer hereby exclusively makes the following “Dedication” to Gatherer and the Gathering System: (i) dedicates and commits all of Producer Group’s current and future Interests, and Gas from such Interests, whether in place or produced and severed therefrom, in the Dedication Area, (ii) dedicates and commits to deliver all Gas produced from Xxxxx operated by Producer Group and/or produced from non- operated Xxxxx that are owned by Producer Group for gathering under this Instrument, and (iii) commits to deliver all Gas from Xxxxx located within the Dedication Area that is not owned by Producer Group to the extent that Producer Group controls or has the right to market such Gas for the term of this Instrument (the Gas described in the foregoing subparts (i), (ii) and (iii) being “Dedicated Gas”). Producer agrees not to deliver any such Dedicated Gas to any other gatherer, purchaser, or marketer or other Person prior to delivery to Gatherer at the Receipt Point(s). The Parties agree and acknowledge that, subject to Section 2.5 of the Agreement, to the extent that a Transferee acquires any portion of the Interests (including the Xxxxx located in the Dedication Area), such Transferee shall only receive rights and obligations hereunder as to such Interests, and the Agreement shall not apply to any other Interests that may be owned by the Transferee or its Affiliates at the time of such Transfer or subsequently acquired by such Transferee or its Affiliates within the Dedication Area. Additionally, if there is a Change of Control with respect to Producer (or any member of Producer Group which owns Dedicated Interests at the time of such Change of Control), then, following such Change of Control, the dedication provisions contained in the Agreement shall only apply to the Interests owned by Producer (or such member of Producer Group) at the time of such Change of Control, and the Agreement shall not apply to (x) any other Interests subsequently acquired by Producer (or such member of Producer Group) following such Change of Control or (y) any other Interests owned at the time of such Change of Control, or subsequently acquired, by any Persons who become Affiliates of Producer (or such member of Producer Group) following such Change of Control.
Dedication. Subject to the exceptions, exclusions and reservations set forth in the Agreement and the other terms and conditions of the Agreement, Producer has exclusively dedicated the Dedicated Properties to Gatherer for the performance of the Services under the Agreement and commits to deliver to Gatherer, as and when produced, all Dedicated Saltwater into the Disposal System for the performance of the Services under the Agreement.
Dedication. 1. When the installation of the Dedicated Improvements described hereinabove and to be dedicated to the Township shall have been fully completed and approved by the Township Engineer and the Township Manager in accordance with the Pennsylvania Municipalities Planning Code, Act 247, and applicable Ordinances of the Township of West Hanover, Developer shall tender to the Township the following:
Dedication. Subject to the exceptions, exclusions, and reservations set forth in the Contract and the other terms and conditions of the Contract, Shipper has exclusively dedicated and committed for Gathering and Processing, and has agreed to deliver, or cause to be delivered, to Processor all of the Committed Gas attributable to its Contractually Dedicated Area Interests located within the area described in Schedule 1 attached hereto and incorporated herein (the “Dedicated Area”).
Dedication. The Public Improvements constructed by or on behalf of each Owner shall be conveyed or dedicated to the Town for ownership, operation, and maintenance subject to final acceptance by the Town, or to a District, subject to final acceptance by the District. With respect to Public Improvements required to be owned, operated, or maintained by a District, the District shall have the option, but shall not be required, to enter into an agreement or agreements with individual owners or an owners’ association providing for performance of all or some of such operation and maintenance functions; provided, however, that ownership of the Public Improvements shall be retained by the District and the ultimate responsibility for maintenance of such Public Improvements will remain with the District.
Dedication. Subject to Section 2.2 through Section 2.4, Producer covenants and commits not to obtain any Services in respect of Producer Gas from any third party.
