Permits; Certificate of Occupancy. Lender shall have received a copy of all Permits necessary for the use and operation of the Property and the certificate(s) of occupancy, if required, for the Property, all of which shall be in form and substance reasonably satisfactory to Lender.

Except as disclosed in Schedule 8.27, each Debtor has to the Obligors’ Knowledge obtained all Permits necessary for the present use and operation of its Property except to the extent the failure to do so would not reasonably be expected to have a Material Adverse Effect. The uses being made of each Property are in conformity in all material respects with the Permits for such Property, all applicable Legal Requirements and any other restrictions, covenants or conditions affecting such Property except to the extent the failure to so conform would not reasonably be expected to have a Material Adverse Effect.

A copy of the certificate(s) of occupancy issued for such parcel of Real Property and all other applicable permits and licenses permitting the use and occupancy of the improvements thereon (or a copy of the certificates of occupancy issued for such parcel of Real Property and evidence satisfactory to the Administrative Agent that any previously issued certificate(s) of occupancy and permits/licenses are not required to be reissued to such Credit Party).
