Duties and Extent of Service. As , you will report to and you will have responsibility for performing those duties as are customary for, and are consistent with, such position, as well as those duties that may be designated to you from time to time. As you know, your employment will be contingent upon your agreeing to abide by the rules, regulations, instructions, personnel practices, and policies of the Company and any changes therein that the Company may adopt from time to time, and your execution of the Company’s standard Nondisclosure, Developments, and Non-Competition Agreement.
Duties and Extent of Service. During the term of this Agreement, the Employee agrees to devote Employee's full business time energy and skill to the business of O2 and to the promotion of O2's interests as may be required for the fulfillment of Employee's obligations under this Agreement. Employee may provide services for third parties and engage in other employment so long as such other services and employment do not interfere with Employee's ability to provide the services set forth herein for O2 on a full-time basis, and the services do not violate any other covenant or obligation of the Employee herein. During the term of this Agreement, the Employee has a duty of loyalty to O2 and shall not engage in, or otherwise have an interest in, directly or indirectly, any other business activity that would adversely affect the Employee's ability to perform Employee's duties as set forth in this Agreement; provided, however, this constraint is not to be construed as preventing the Employee from investing Employee's assets in any form or manner that does not require any services on the part of the Employee and does not require Employee's operation of the affairs of the companies in which investments are made. Employee agrees that termination of Employee's employment, regardless of the method, reason or circumstances of such termination shall not relieve Employee of Employee's obligations under the restrictive covenants set forth herein.
Duties and Extent of Service. (a) During the Term, Executive shall serve as Chief Executive Officer and President of the Company and, in addition, in such other executive capacity or capacities for the Company, as may be commensurate with Executive’s seniority and experience and as determined by the Company’s Board of Directors (the “Board”). During the Term, the Company shall use its reasonable best efforts to ensure that Executive is re-elected as a director of the Company, and Executive agrees to serve in such capacity without additional compensation.
Duties and Extent of Service. As Chief Scientific Officer of the Company, you have responsibility for performing those duties as are customary for, and are consistent with, such position, as well as those duties as the Company’s Board of Directors or Chief Executive Officer may from time to time designate. The Company is currently located in the Village of Oakwood, Ohio. The Company acknowledges that your primary residence is in Chagrin Falls, Ohio. If the Company relocates from the Village of Oakwood, Ohio, the Company shall provide you with relocation assistance as described below. You agree to abide by the rules, regulations, instructions, personnel practices and policies of the Company and any changes therein that may be adopted from time to time by the Company. Except for vacations and absences due to temporary illness, you will be expected to devote your full time and effort to the business and affairs of the Company.
Duties and Extent of Service. Executive shall serve the Company as Chief Executive Officer or in such other position as may be mutually agreed upon by Executive and the Company and shall perform such services and duties for the Company as are customarily performed by an executive in Executive's position at a business such as the Company's business and as the Board of Directors of the Company (the "Board of Directors") may assign or delegate to him from time to time as provided in the By-laws of the Company. Executive shall devote his full business knowledge, skill, time and effort exclusively to the performance of his duties for the Company and the promotion of its interests. Executive's duties hereunder shall be performed at such place or places as the interests, needs, businesses or opportunities of the Company shall require. Executive shall report to the Board of Directors of the Company.
Duties and Extent of Service. Employee shall hold the office of President of the Company. Employee agrees to perform the duties incidental to his position, as determined from time to time by the Chief Executive Officer of ACG. Employee shall devote such time, attention, and energy to the business of the Company as are required to perform his duties and responsibilities hereunder and shall not after the Closing Date and during the remaining term of this Agreement be engaged, directly or indirectly, in any other business activity if pursued for gain, profit, or other pecuniary advantage without the prior written consent of the Chief Executive Officer of ACG; provided, however, that Employee shall be permitted to continue to serve as a member of the Board of Directors of Xxxxx Publications, Inc. and receive compensation for serving in such capacity. In any event after the Closing Date, Employee shall not take any action inconsistent with Employee's relationship and responsibilities as an employee or the Company, or take any action which is intended, or may be reasonably expected, to harm the reputation, business, prospects, or operations of ACG.
Duties and Extent of Service. As Chief Financial Officer of the Company, you will report directly to the President and Chief Executive Officer of the Company (the “Supervising Officer”) and you will have responsibility for performing those duties as are customary for, and are consistent with, your position with the Company, as well as those duties as the Supervising Officer or the Board of Directors of the Company (the “Board”) may designate. Your first date of employment shall be the date of this Agreement. Your primary working location shall initially be your home; provided that if the Company were to establish an office no more than a 50-mile radius from the address set forth above, the Company shall be entitled to designate such location as your primary working location. Subject to the terms of this Agreement, the Company reserves the right to reasonably require you to perform your duties at places other than your primary working location from time to time and to require business travel. You agree to abide by the rules, regulations, instructions, personnel practices and policies of the Company and any changes therein that may be adopted by the Company. Except for vacations and absences due to temporary illness, you will be expected to devote your full-time business efforts to the business and affairs of the Company. Notwithstanding the foregoing, you may participate in outside charitable, civic, educational, professional, community or industry activities to the extent such activities do not individually or in the aggregate materially interfere with the performance of your duties to the Company as provided in this Agreement or create an actual or potential conflict of interest with the Company’s business; provided, further, that your service on any outside boards (whether for profit or non-profit) shall require the prior consent of the Supervising Officer. Any of your outside activities listed on Schedule 1 attached hereto shall also be deemed approved for purposes of this Agreement and shall not be a violation of your obligations in this paragraph.

In addition, Employee shall serve Advanced Communications Group, Inc. at no additional compensation as its Vice President -- Kansas/Telecommunication Services Group. Employee agrees to perform the duties incidental to his positions, as determined from time to time by the Chief Executive Officer of Advanced Communications Group, Inc. Employee shall devote such time, attention, and energy to the business of ACG as are required to perform his duties and responsibilities hereunder and shall not after the Closing Date and during the remaining term of this Agreement be engaged, directly or indirectly, in any other business activity if pursued for gain, profit, or other pecuniary advantage without the prior written consent of the Chief Executive Officer of Advanced Communications Group, Inc.; provided, however, that Employee shall be permitted to continue to serve as a member of the Board of Directors of Xxxxx Publications, Inc. and receive compensation for serving in such capacity. In any event, after the Closing Date, Employee shall not take any action inconsistent with Employee's relationship and responsibilities as an employee of the Company and ACG or take any action which is intended, or may be reasonably expected, to harm the reputation, business, prospects, or operations of ACG.
Duties and Extent of Service. Efforts. Executive agrees to devote such working time, energy, knowledge, and efforts as Employer deems necessary to the performance and discharge of Executive's duties and responsibilities hereunder and such other reasonable duties and responsibilities as are assigned to him from time to time by the Board of Directors of Employer. Executive's duties hereunder shall be performed at the business offices of Employer, but may also be performed at the business offices of Employer, but may also be performed at such other places as may be designated by Employer. Position and Responsibilities. The Executive shall serve as Executive Vice President and Chief Operating Officer of Employer, with such duties as are assigned to him by the Board of Directors of Employer consistent with his status and capacity as an executive of Employer. Following the term of this Agreement, Employer and Executive shall negotiate in good faith the terms of renewal hereof.
Duties and Extent of Service. Executive shall hold the office of President of Company. Executive agrees to perform the duties incidental to his position, as amplified from time to time by the Chief Executive Officer of ACG and in a manner consistent with the discharge of such duties prior to the purchase of Company by ACG. Executive's office shall be located at 0000 Xxxxxxxx Xxxxx, Xxxxxxxx, Xxxxx. Executive shall devote such time, attention, and energy to the business of Company as he, in his sole discretion, believes is reasonably necessary for him to supply overall strategic direction to the Company, but in no event shall Executive be required to devote more time, attention and energy to the affairs of Company than he devoted prior to the date of this Agreement. In no event, however, shall Executive take any action inconsistent with Executive's relationship and responsibilities as a Company executive, or which is intended, or may be reasonably expected, to harm the reputation, business, prospects, or operations of ACG.
