No Additional Terms. No shrink-wrap, click-acceptance or other terms and conditions outside this Agreement provided with any Licensed Materials or any part thereof (“Additional Terms”) will be binding on Buyer or its Users, even if use of the Licensed Materials, or any part thereof, requires an affirmative “acceptance” of such Additional Terms before access to or use of the Licensed Materials, or any part thereof, is permitted. All such Additional Terms will be of no force or effect and will be deemed rejected by Buyer in their entirety. For clarity, the Software, Subscription type (AMI or SaaS), fee structure (Entitlement Pricing or Metered Pricing), technical requirements for use of the Software, Support Services, as well as any information regarding Open Source Software set forth or referenced in the Standard Contract Listing or Documentation, are not Additional Terms subject to this Section.

No Additional Terms. The acceptance of the Blanket Purchase Order, any Purchase Order Release and/or a Purchase Order from IQE plc and/or an Ordering Entity, whether electronically or in hard copy form, is expressly conditioned upon IQE plc’s and each Ordering Entity’s assent hereunder to be bound by the terms and conditions in this Agreement, in lieu of the terms contained in any such IQE plc and/or Ordering Entity Blanket Purchase Order, Purchase Order Release and/or a Purchase Order. The parties hereby reject all provisions contained in communications from either party that conflict with or are inconsistent with the terms contained herein. The parties’ failure to object to any of the provisions contained in either party’s documentation shall not be deemed a waiver of the terms of this Agreement under any circumstances.

No Additional Terms. This Order forms a contract between HERSHEY TRADING GmbH, a Swiss corporation, or its affiliate as identified on the face of this Order as the purchaser of the Goods and Services ("HSY") and the entity identified on the face of this Order as the seller of the Goods and Services ("Seller") for the sale of the Goods and Services, subject to the provisions of this Order, HSY's Ingredient Supplier Expectations and any other document incorporated by reference or attached to Order. These T&Cs govern this Order. Unless accepted earlier, shipment of any Goods or performance of any Services constitutes Seller's acceptance of this Order (including these T&Cs), regardless of whether Seller has signed or acknowledged this Order and the terms and conditions contained herein. No other terms in any document given by Seller shall in any way govern this Order, modify or supersede any of the terms of or otherwise have any effect on this Order, or be binding on HSY. HSY hereby expressly rejects all such other terms and the absence of any objection by HSY to any such terms after receiving them will not constitute consent or agreement to any such term on the part of HSY. If this Order is issued pursuant to an existing agreement between HSY and Seller (the "Existing Agreement"), then the provisions in the Existing Agreement will prevail over these T&Cs and these T&Cs will have no force or effect with respect to this Order. The terms on the face of this Order will govern over these T&Cs, in the event of a conflict between such terms.
No Additional Terms. Kareo rejects additional or conflicting terms of a form-purchasing document. If there is an inconsistency between this agreement and the Customer Agreement, the Customer Agreement prevails.
