Independent Contractors; No Third Party Beneficiaries. The parties have the status of independent contractors, and nothing in this SaaS Agreement nor the conduct of the parties will be deemed to place the parties in any other relationship. Except as provided in this SaaS Agreement, neither party shall be responsible for the acts or omissions of the other party or the other party’s personnel. There are no third-party beneficiaries under this SaaS Agreement.

It is expressly agreed that Dynavax and Merck shall be independent contractors and that the relationship between the two Parties shall not constitute a partnership, joint venture or agency. Merck and their respective Affiliates and permitted assignees under this Agreement shall be deemed an intended beneficiary under or have any right to enforce any obligation of this Agreement.
