LLC Agreement. This Agreement shall be treated as part of the LLC Agreement as described in Section 761(c) of the Code and Sections 1.704-1(b)(2)(ii)(h) and 1.761-1(c) of the Treasury Regulations.
LLC Agreement. The term "LLC Agreement" shall mean the Amended and Restated Limited Liability Company Agreement of Investors, dated as of April 10, 2001, entered into by and among the members of Investors, as amended from time to time in accordance with its terms.
LLC Agreement. The LLC Agreement is a valid and binding obligation of Seller, enforceable against Seller in accordance with its terms (except as may be limited by bankruptcy, insolvency, reorganization and other similar laws and equitable principles relating to or limiting creditors’ rights generally).
LLC Agreement. The term "LLC Agreement" shall mean the Limited Liability Company Agreement of Dairy Holdings, dated as of April 10, 2001, entered into by and among the members of Dairy Holdings, as amended from time to time in accordance with its terms.
LLC Agreement. For U.S. federal income Tax purposes, to the extent this Agreement imposes obligations upon the Company or a member of the Company, this Agreement shall be treated as part of the LLC Agreement as described in section 761(c) of the Code and sections 1.704-1(b)(2)(ii)(h) and 1.761-1(c) of the Treasury Regulations.
LLC Agreement. A copy of the LLC Agreement of such Credit Party certified by an Authorized Officer of such Credit Party to be true and correct as of the Effective Date.
LLC Agreement. The term “LLC Agreement” shall mean the Eighth Amended and Restated Limited Liability Company Agreement of the Company, dated as of , 2013, as it may be amended or supplemented thereafter from time to time.
LLC Agreement. Subscriber acknowledges that it has received and reviewed a copy of the LLC Agreement and further acknowledges and agrees that the Units shall be subject to the terms and conditions of the LLC Agreement, including the restrictions on transfer of the Units set forth therein.
