Benefit and Binding Nature; Assignment. This Agreement shall be binding upon and inure to the benefit of the successors and permitted assigns of the respective parties hereto. The Employee may not assign or transfer any or all of his rights or obligations under this Agreement. The Company may assign its rights and obligations hereunder to any person or entity who succeeds to all or substantially all of the Company's business by means of a Change of Control or otherwise or to any affiliate of the Company, defined as a person which, directly or indirectly, controls or is controlled by or is under common control with the Company.

Benefit and Binding Nature; Assignment. This Guarantee shall bind the Guarantor, its successors and permitted assigns and enure to the benefit of and be enforceable by the Indenture Trustee and its respective successors and permitted assigns. Neither the Indenture Trustee nor the Guarantor may assign any of its rights or obligations under this Guarantee without the prior written consent of the other.
