THIS MANAGING DEALER WARRANT AGREEMENT (the Agreement), dated as of June 21, 2006, is made and entered into by and between NEWPORT INTERNATIONAL GROUP, INC., a Delaware corporation (the Company), and BROOKSTREET SECURITIES CORPORATION, a California corporation (Brookstreet or the Warrantholder).

Company Address. If to the Company addressed to it at 73-061 El Paseo, Suite 202, Palm Desert, California 94403, Attention: Cery B. Perle, President. Facsimile No.: (760) 674-0016. All such notices and other communications will (i) if delivered personally to the address as provided in this Section 15, be deemed given upon delivery, (ii) if delivered by facsimile transmission to the facsimile number as provided in this Section 15, be deemed given upon receipt, and (iii) if delivered by mail in the manner described above to the address as provided in this Section 15, be deemed given upon receipt (in each case regardless of whether such notice is received by any other person to whom a copy of such notice, request or other communication is to be delivered pursuant to this Section 15). Any party from time to time may change its address, facsimile number or other information for the purpose of notices to that party by giving notice specifying such change to the other party hereto.
