Annual Servicer's Certificate. The Servicer will deliver to the Rating Agencies, the Trustee, any Agent and any Enhancement Providers on or before March 31 of each calendar year, beginning with March 31, 1992, an Officers' Certificate substantially in the form of Exhibit C stating that (a) a review of the activities of the Servicer during the preceding calendar year and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such officer's knowledge, based on such review, the Servicer has performed in all material respects its obligations under this Agreement throughout such year, or, if there has been a material default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.
Annual Servicer's Certificate. The Servicer will deliver to the Issuer, the Trustee and each Rating Agency within forty-five (45) days after the end of each fiscal year, beginning with the fiscal year, ending December 31, 2008, an Officer’s Certificate stating that (a) a review of the activities of the Servicer during the preceding calendar year (or, in the case of the first such Officer’s Certificate, the period since the Closing Date) and of its performance under this Indenture during such period was made under the supervision of the officer signing such certificate and (b) to the Servicer’s knowledge, based on such review, the Servicer has fully performed all of its obligations under this Indenture for the relevant time period, or, if there has been a default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof.
Annual Servicer's Certificate. On or before March 31 of ----------------------------- each calendar year, beginning with March 31, 1997, the Servicer will deliver, as provided in Section 13.5, to the Trustee, any Credit Enhancement Provider and the Rating Agency, an Officer's Certificate substantially in the form of Exhibit D stating that (a) a review of the activities of the Servicer during the twelve- month period ending on December 31 of the preceding calendar year, or for the initial period, from the Closing Date until December 31, 1996, and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such Officer's knowledge, based on such review, the Servicer has fully performed all its obligations under this Agreement throughout such period, or, if there has been a default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust office.
Annual Servicer's Certificate. Unless the Servicer has been ----------------------------- relieved of all of its obligations under this Agreement because the final Series has been repaid during the prior calendar year, the Servicer will deliver to the Indenture Trustee, any Enhancement Provider and any Rating Agency on or before April 30 of each calendar year, beginning with April 30, 2002, an Officer's Certificate substantially in the form of Exhibit D stating that (a) a review of --------- the activities of the Servicer during the preceding calendar year (or, with respect to the certificate to be delivered on April 30, 2002, since the Issuer's inception) and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such officer's knowledge, based on such review, the Servicer has fully performed all its obligations under this Agreement throughout such period, or, if there has been a default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Noteholder by a request in writing to the Indenture Trustee addressed to the Corporate Trust Office.
Annual Servicer's Certificate. The Servicer will deliver, as provided in Section 13.5, to the Trustee, the Rating Agencies and the Persons, if any, specified in the Supplement with respect to each class of Investor Certificates of any then outstanding Series which is not assigned a rating by any Rating Agency, on or before June 30 of each calendar year, beginning with 1998, an Officer's Certificate substantially in the form of Exhibit F (a) stating that a review of the activities of the Servicer during the preceding Fiscal Year (or, in the case of the first such certificate, during the period from the Initial Closing Date until February 3, 1998) and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) stating that to the best of such officer's Knowledge, based on such review, either there has occurred no event which, with the giving of notice or passage of time or both, would constitute a Servicer Default and the Servicer has fully performed all its obligations under this Agreement throughout such year, or, if there has occurred such an event, specifying each such event known to such officer and the nature and status thereof. A copy of such Officer's Certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee directed to the Trustee's address specified in Section 13.5 hereof.
Annual Servicer's Certificate. The Servicer will deliver, in accordance with Section 13.5, to the Transferor, the Trustee, any Enhancement Provider and the Rating Agencies, within 100 days of the end of each fiscal year, beginning in 1995, an Officer’s Certificate of the Servicer substantially in the form of Exhibit D stating that (a) a review of the activities of the Servicer during the preceding fiscal year and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to such officer’s knowledge, based on such review, the Servicer has fully performed all its obligations under this Agreement throughout such period, or, if there has been a default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Securityholder by a request in writing to the Trustee addressed to the Corporate Trust Office.
Annual Servicer's Certificate. On or before March 31 of ----------------------------- each calendar year, beginning with March 31, 1994 the Servicer will deliver, as provided in Section 13.5, to the Trustee, the Rating Agency, and any Certificate ------------ Owner, upon the written request of such Certificate Owner, an Officer's Certificate substantially in the form of Exhibit D stating that (a) a review of --------- the activities of the Servicer during the twelve-month period ending on December 31 of such year, or for the initial period, from the Closing Date until December 31, 1993, and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) to the best of such officer's knowledge, based on such review, the Servicer has fully performed all its obligations under this Agreement throughout such period, or, if there has been a default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.
Annual Servicer's Certificate. The Servicer shall deliver, ----------------------------- as provided in Section 13.5, to the Trustee and the Rating Agencies, on or before June 30 of each year, beginning with June 30, 2002, an Officer's Certificate signed by a Servicing Officer and substantially in the form of Exhibit F (a) stating that a review of the activities of the Servicer during the --------- preceding Fiscal Year and of its performance under this Agreement was made under the supervision of the officer signing such certificate and (b) stating that to the best of such officer's knowledge, based on such review, either there has occurred no event which, with the giving of notice or passage of time or both, would constitute a Servicer Default and the Servicer has fully performed all its obligations under this Agreement throughout such year or, if there has occurred such an event, specifying each such event known to such officer and the nature and status thereof. A copy of such Officer's Certificate may be obtained by any Investor Certificateholder or Certificate Owner by a request in writing to the Trustee addressed to the Corporate Trust Office.
Annual Servicer's Certificate. On or before the 90th day following the end of each fiscal year of the Trust (or, if such 90th day is not a Business Day, the next succeeding Business Day), commencing with the fiscal year ending December 31, 2015, the Servicer will deliver, as provided in Section 13.05, to the Trustee, the Transferor, any Credit Enhancement Provider and the Rating Agency, the statement of compliance required under Item 1123 of Regulation AB with respect to such fiscal year (or, with respect to the statement delivered in 2016, for the period from and including July 1, 2015 through and including December 31, 2015), which statement will be in the form of an Officer’s Certificate of the Servicer to the effect that (a) a review of the activities of the Servicer during such fiscal year and of its performance under this Agreement, together with any other agreements specified in any Supplement for a Series, was made under the supervision of the officer signing such certificate and (b) to the best of such officer’s knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any other agreements specified in any Supplement for a Series throughout such fiscal year or, if there has been a failure to fulfill any such obligation in any material respect, specifying each such failure known to such officer and the nature and status thereof. A copy of such certificate may be obtained by any Investor Certificateholder by a request in writing to the Trustee addressed to the Corporate Trust Office.
Annual Servicer's Certificate. The Servicer will deliver to ----------------------------- the Trustee and each Enhancement Provider on or before April 30 of each calendar year, beginning with April 30, 2000, an Officer's Certificate substantially in the form of Exhibit 3.05 (or such other form as reasonably requested by any ------------ Agent under any Series Supplement) stating that (a) a review of the activities of the Servicer during the preceding fiscal year of the Servicer and of its performance under this Agreement and each Supplement was made under the supervision of the officer signing such certificate and (b) to the best of such officer's knowledge, based on such review, the Servicer has in all material respects fully performed or has caused to be fully performed all of its obligations under this Agreement and each Supplement throughout such year, or, if there has been a default in the performance of any such obligation, specifying each such default known to such officer and the nature and status thereof.
