ICG Ports. The ICG Ports and associated hours delivered on the ICG Ports shall continue to be delivered in accordance with the provisions of the June 29, 2007 letter agreement between the parties, except that the ICG Term (defined in the June 29, 2007 letter agreement between the parties) shall be extended through December 31, 2009, which period is co-terminus with the 2008 through 2009 Commitment Periods. The provisions of Section 5 of this Letter shall apply to the ICG Ports. Notwithstanding the foregoing, AOL shall have the option to turn down any portion of the ICG Ports on one occasion each year, specifically June 30, 2008 and June 30, 2009 (each a “Yearly Notice Date”), provided AOL provides Level 3 with at least thirty (30) days’ prior written in advance of the relevant Yearly Notice Date of its intention to do so. For avoidance of doubt, any hours delivered within each Commitment Period on the ICG Ports shall contribute to AOL’s 2008 through 2009 Purchase Commitment.

ICG Ports. The [****] ports purchased by AOL under the ICG Network Services Agreement, as amended (and subsequently assigned to Level 3) are not affected by this Letter Agreement.
ICG Ports. AOL agrees to renew for a term commencing July 1, 2006 and ending June 30, 2007 (the “ICG Term”) [****] ICG Ports more specifically to be identified on Exhibit “B” and attached hereto by June 15, 2006 (the “ICG Ports”), such ports to be delivered under the Managed Modem Agreement. The pricing for such ICG Ports shall be as follows, based on the “Pricing Bracket” of each port identified in Exhibit “B”: Pricing Bracket 1 – [****] ports: [****]/Port/month Pricing Bracket 2 – [****] ports: [****]/Port/month Pricing Bracket 3 – [****] ports: [****]/Port/month Pricing Bracket 4 – [****] ports: [****]/Port/month Respecting the ICG Ports, Section 12 of this Letter Agreement shall not apply, and Section 13 of this Letter Agreement shall apply, provided that AOL may only move ports within Pricing Brackets (and not between them). For avoidance of doubt, upon expiration of the ICG Term, AOL shall be entitled to Transition Assistance with respect to the affected ICG Ports.

The pricing for such ICG Ports shall be as follows, based on the “Pricing Bracket” of each port identified in Exhibit “B”: Pricing Bracket 1: [****]/Port/month Pricing Bracket 2: [****]/Port/month Pricing Bracket 3: [****]/Port/month Pricing Bracket 4: [****]/Port/month For invoicing simplification purposes, during the ICG Term the pricing for such ICG Ports shall be [****] per port per month. Additionally and for clarity, Section 12 of the March 2006 Agreement shall not apply to the ICG Ports; Section 13 of the March 2006 Agreement shall apply, provided that AOL may only move ports within Pricing Brackets (and not between them). For the avoidance of doubt, upon expiration of the ICG Term, AOL shall be entitled to Transition Assistance with respect to the affected XXX Xxxxx.
ICG Ports. The ICG Ports and associated hours delivered on the ICG Ports shall continue to be delivered in accordance with the provisions of the letter agreement dated July 1, 2008 between the Level 3 and AOL (the “July 1 Letter”), except that: (i) the ICG Term (as previously defined under the July 1 Letter) shall be extended through March 31, 2011, which period is co-terminus with the Commitment Period; (ii) the blended rate for ICG Ports is now [****] as identified in Section 4 above; and (iii) traffic delivered during the Commitment Period on the ICG Ports shall contribute to the Committed Percentage and 2009 through 2011 Purchase Commitment. Notwithstanding the foregoing (and without limiting the 2009 through 2011 Purchase Commitment), AOL shall have the option to turn down any portion of the ICG Ports during the period of [****] only, provided AOL provides Level 3 with at least [****] prior written notice of its intention to do so.
ICG Ports. The parties reaffirm that pursuant to the Letter Agreement as between the parties dated March 7, 2008, Section 7, entitled “ICG Ports”; the term for such ports shall continue from the date of this letter or the later of July 1, 2008 through December 31, 2009 (the “ICG Term”). In addition, the ICG Ports shall continue to be priced in accordance with the “Pricing Brackets” coincident to each of the ICG Ports as governed by the Managed Modem Agreement.   • Switching System Hierarchy and Trunking Requirements For purposes of routing iNetworks traffic to Verizon, the subtending arrangements between Verizon Tandems and Verizon End Offices shall be the same as the Tandem/End Office subtending arrangements Verizon maintains for the routing of its own or other carriers’ traffic (i.e., traffic will be routed to the appropriate Verizon Tandem subtended by the terminating End Office serving the Verizon Customer). For purposes of routing Verizon traffic to iNetworks, the subtending arrangements between iNetworks Tandems and iNetworks End Offices shall be the same as the Tandem/End Office subtending arrangements that iNetworks maintains for the routing of its own or other carriers’ traffic.

  • Vesting Date All remaining shares of Restricted Stock will become vested on the Vesting Date.

  • Shift Rotation Routine shift rotation is not an approach to staffing endorsed by the Employer. Except for emergency situations where it may be necessary to provide safe patient care, shift rotation will not be utilized without mutual consent. If such an occasion should ever occur, volunteers will be sought first. If no one volunteers, the Employer will rotate shifts on an inverse seniority basis until the staff vacancies are filled.

  • Purchase Order Flip via Ariba Network (AN) The online process allows suppliers to submit invoices via the AN for catalog and non- catalog goods and services. Contractors have the ability to create an invoice directly from their Inbox in their AN account by simply “flipping” the purchase order into an invoice. This option does not require any special software or technical capabilities. For the purposes of this section, the Contractor warrants and represents that it is authorized and empowered to and hereby grants the State and the third-party provider of MFMP the right and license to use, reproduce, transmit, distribute, and publicly display within the system the information outlined above. In addition, the Contractor warrants and represents that it is authorized and empowered to and hereby grants the State and the third-party provider the right and license to reproduce and display within the system the Contractor’s trademarks, system marks, logos, trade dress, or other branding designation that identifies the products made available by the Contractor under the Contract.

  • Service Terms Each Service Order will provide for a service term.   • System for Award Management (XXX) Requirement Alongside a signed copy of this Agreement, Grantee will provide Florida Housing with a XXX.xxx proof of registration and Commercial and Government Entity (CAGE) number. Grantee will continue to maintain an active XXX registration with current information at all times during which it has an active award under this Agreement.

  • Stop Work Orders A. The JBE may, at any time, by Notice to Contractor, require Contractor to stop all or any part of the Services for a period up to ninety (90) days after the Notice is delivered to Contractor, and for any further period to which the parties may agree (“Stop Work Order”). The Stop Work Order shall be specifically identified as such and shall indicate it is issued under this provision. Upon receipt of the Stop Work Order, Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the Services covered by the Stop Work Order during the period of stoppage. Within ninety (90) days after a Stop Work Order is delivered to Contractor, or within any extension of that period to which the parties shall have agreed, the JBE shall either (i) cancel the Stop Work Order; or (ii) terminate the Services covered by the Stop Work Order as provided for in this Agreement.

  • PERFORMANCE MANAGEMENT SYSTEM 5.1 The Employee agrees to participate in the performance management system that the Employer adopts or introduces for the Employer, management and municipal staff of the Employer.
