Agreement is Confidential. Agent agrees not to disclose this Agreement, or any term of it, to any third party without the prior written consent of UnitedHealthcare, except as required by law. This section does not prohibit Agent from disclosing the compensation that Agent receives from UnitedHealthcare to actual or prospective Enrolling Units.

This section does not prohibit Producer from disclosing the compensation that Producer receives from Liberty Dental to actual or prospective Contracting Parties.

Releasor and Blackhawk covenant and agree that each will maintain in confidence the terms of this Release Agreement and that, unless required to do so by subpoena or other lawful process, and then only to the extent so required, they will not disclose any information concerning the Release or Release Agreement, or any of its specific terms or provisions, to any person or entity other than Releasor’s attorneys, spouse, accountants or certified financial or tax advisors or Blackhawk’s officers, directors, attorneys, parents, subsidiaries, affiliates or certified or in-house accountants, financial or tax advisors, each of whom upon receipt of such information or this Release Agreement shall be bound by the terms of this Paragraph 8. Notwithstanding the foregoing or the provisions of Paragraph 11, nothing in this Release Agreement prohibits Releasor from exercising rights as specified in Paragraph 13 of this Release Agreement. Pursuant to the Defend Trade Secrets Act of 2016, Releasor understands that he shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that is made in confidence to a Federal, State, or local government official or to an attorney solely for the purpose of reporting or investigating a suspected violation of law. He shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. An individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the attorney of the individual and use the trade secret information in the court proceeding, if the individual files any document containing the trade secret under seal; and does not disclose the trade secret, except pursuant to court order.

Xxxxx specifically agrees to keep the existence and terms of this Agreement, the circumstances giving rise to its execution, the negotiations leading thereto and all matters relating to the allegations raised or which could have been raised in any litigation completely confidential and secret. Xxxxx may respond to unsolicited inquiries concerning his employment separation with Xxxxxxx by stating only that his “employment ended amicably with Xxxxxxx,” and may provide general information about his position and duties while at Aurinia. Xx. Xxxxx agrees not to disparage or defame, or otherwise communicate any negative information about Xxxxxxx and/or the Releasees in any such response. Xx. Xxxxx warrants and represents that prior to his execution of this Agreement, he did not disclose, directly or indirectly, any of the terms or promises of this Agreement or the payments offered him to any person, including other current or former employees of Xxxxxxx, other than his attorneys, tax advisor, accountant and spouse. If required by a valid court-issued subpoena, Xx. Xxxxx may produce a copy of this Agreement provided that he gives written notice of such subpoena to Aurinia within [redacted] of receipt of such subpoena and allows Xxxxxxx a reasonable opportunity to move for a protective order or to otherwise quash the subpoena. Xx. Xxxxx may also discuss the terms of his separation with official law enforcement, if required to do so pursuant to a subpoena, provided he gives notification to Aurinia within [redacted] of being requested to provide such information. Agreement is Confidential. Insurer and Producer agree to safeguard, maintain and preserve the confidentiality of this Agreement during the life of the Agreement and after termination.
