Retirement; Consulting Agreement. Unless earlier terminated pursuant to the terms hereof, the Employment Period shall terminate on December 31, 2008. In the event the Employment Period is terminated pursuant to this Section 6(f), X-Rite and Executive shall enter into a Consulting Agreement substantially in the form attached hereto as Exhibit A, which Consulting Agreement shall be effective as of January 1, 2009.

Consultant shall report all earnings under this Agreement in the manner appropriate to its status as an independent contractor and shall file all necessary reports and pay all taxes with respect to such payments.
