Board of Directors and Officers of the Holding Company. As of the Effective Time, the Board of Directors of the Holding Company shall be J.X. Xxxxxxxxx, Xx., Rxxxx X. Xxxxxxx, Nxxxx X. Xxxxx, Fxxx X. Xxxxxx, Hxxxx X. Xxxxx, Jxxxx X. Xxxxxxx, Xx., Wxxxxxx X. Xxxx, Dxxxxx X. Xxxx, Exxxx X. Xxxxx, Jxxxx X. Xxxxxxxxxx, Jxxxx X. Xxxxx, Hxxxx X. Xxxxx, Hxx X. Xxxxxx, and C. Kxxxxxx Xxxxxx and such persons shall continue in office until their successors are elected and qualified or until their earlier resignation or removal in accordance with the provisions of the Holding Company’s bylaws. As of the Effective Time, the executive officers of the Holding Company shall be Wxxxxxx X. Xxxx, President and Chief Executive Officer, Exxxx X. Laws, Chief Financial Officer, and Pxxxxxxx X. Xxxxxx, Secretary, and such persons shall continue in office until their successors are elected and qualified or until their earlier resignation or removal in accordance with the provisions of the Holding Company’s bylaws.
