On the Closing Date, the Representative shall have received the opinion of Fish & Rxxxxxxxxx, special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, in form and substance reasonably satisfactory to the Representative.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of [COMPANY COUNSEL], special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit __ attached hereto.] 1
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Xxxxxx Law Firm, PLLP (“Xxxxxx”), special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit E attached hereto.
Opinion of Special Intellectual Property Counsel for the Company. At Closing Time, the Representatives shall have received an opinion, dated as of Closing Time, of Wxxxxx Xxxxxxx Xxxxxxxx & Rxxxxx, Professional Corporation, special intellectual property counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto, and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Mintz, Levin, Cohn, Ferris, Glovsky & Popeo, P.C., special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, in form and substance reasonably satisfactory to the Representative.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of DLA Piper (Canada) LLP, as intellectual property counsel for the Company, dated the Closing Date and addressed to the Representative, substantially in the form of Exhibit F attached hereto and containing customary assumptions and exclusions.
Opinion of Special Intellectual Property Counsel for the Company. Sughrue Mion, PLLC, special intellectual property counsel for the Company, shall have furnished to the Representative, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex A-2 hereto.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Underwriter shall have received the opinion of One3 IP Management, P.C, special intellectual property counsel for the Company, dated the Closing Date, addressed to the Underwriter in a form reasonably acceptable to the Underwriter.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of ________ (“___”) and ___________ (“____” and together with _____, collectively, “IP Counsel”), each special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit E attached hereto.

On the Closing Date, the Representative shall have received the opinion of Marks & Clerk Canada, as special intellectual property counsel for the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, in a form reasonably acceptable to the Representative.
