Acknowledgment of Guarantor. The Guarantor hereby acknowledges receipt of and notice of, and consents to the terms of, this Amendment.
Acknowledgment of Guarantor. Each Guarantor hereby acknowledges and agrees to the terms and conditions of this Amendment, acknowledges and reaffirms its/his/her obligations owing to Lender under its/his/her Guaranty, and each other Loan Document to which such Guarantor is a party, and agrees that the Guaranty and other Loan Documents are and shall remain in full force and effect. Although each Guarantor has been informed of the matters set forth herein and has acknowledged and agreed to the same, each Guarantor understands and acknowledges that Lender has no obligation to inform Guarantors of such matters in the future or to seek any Guarantor’s acknowledgement or agreement to future amendments, and nothing herein shall create such a duty.
Acknowledgment of Guarantor. Bank shall have received an original of the attached Acknowledgment of Vari-Lite International, Inc., a Delaware corporation, executed and delivered by a duly authorized officer of Vari-Lite International, Inc..
Acknowledgment of Guarantor. The Guarantor shall have confirmed --------------------------- the continuing validity and effectiveness of his guaranty of the Obligations by executing the Acknowledgment of Guarantor attached to this Amendment.
Acknowledgment of Guarantor. The Agent shall have received the Acknowledgment of Guarantor, attached hereto, executed and delivered by a duly authorized officer of each of A.B. Dick and Curtxx xxxpectively.
Acknowledgment of Guarantor. The Guarantor acknowledges and consents (i) to the recitals herein, (ii) to the issuance of the Collateral Mortgage Bonds to the Collateral Agent, for the benefit of Canada and the other GAA Finance Parties, as the case may be, and (iii) that the Collateral Mortgage Bonds will be held for Canada by the Collateral Agent and that pursuant to the terms of the Collateral Agency Agreement, Canada may direct the Collateral Agent including as to the issuance of a LTA NL Crown Payment Demand.
Acknowledgment of Guarantor. The undersigned, T-H Licensing, Inc., hereby (a) acknowledges its receipt of a copy of and consents to the within and foregoing amendment, (b) agrees to be bound by the provisions thereof and (c) acknowledges and agrees that the Subsidiary Guaranty, the Subsidiary Security Agreement and all other Loan Documents to which the undersigned is a party shall continue in full force and effect from and after the execution and delivery of the within and foregoing Amendment without diminution or impairment.
Acknowledgment of Guarantor. By execution of this Amendment, Guarantor hereby covenants and agrees that the Guaranty and Suretyship Agreement dated June 15, 2006 shall remain in full force and effect and shall continue to cover the existing and future Obligations of Borrowers to Agent and Lenders.
Acknowledgment of Guarantor. The Administrative Agent shall have received, from the Guarantor, a duly executed counterpart of the Guarantor Acknowledgment and Release in substantially the form of Exhibit A.
Acknowledgment of Guarantor. HT hereby covenants and agrees that the Amended and Restated Guaranty and Suretyship Agreement dated October 10, 2017, as amended, restated, supplemented and otherwise modified from time to time, remains in full force and effect and continues to cover the existing and future Guaranteed Obligations (as defined therein).
