Administrative Agent’s Fees and Expenses; Indemnification. (a) The parties hereto agree that the Administrative Agent shall be entitled to reimbursement of its expenses incurred hereunder as provided in Section 9.03 of the Credit Agreement.

Administrative Agent’s Fees and Expenses; Indemnification. (a) Each Grantor jointly and severally agrees to pay upon demand to the Administrative Agent the amount of any and all reasonable expenses, including the reasonable fees, other charges and disbursements of its counsel and of any experts or agents, which the Administrative Agent may incur in connection with (i) the administration of this Agreement, (ii) the custody or preservation of, or the sale of, collection from, or other realization upon, any of the Collateral, (iii) the exercise, enforcement or protection of any of the rights of the Administrative Agent hereunder or (iv) the failure of any Grantor to perform or observe any of the provisions hereof.
Administrative Agent’s Fees and Expenses; Indemnification. The parties hereto agree that the Administrative Agent shall be entitled to reimbursement of its expenses incurred hereunder as provided in Section 9.05 of the Credit Agreement and the provisions of Section 9.05 shall be incorporated by reference herein and apply to each Pledgor mutatis mutandis.
Administrative Agent’s Fees and Expenses; Indemnification. (a) Subject to Section 2.02 and Section 4.13 of this Agreement, Limited Guarantor, jointly with the other Guarantors and severally, agrees to reimburse the Administrative Agent for its fees and expenses incurred hereunder to the extent provided in Section 10.05(1) of the First Lien Credit Agreement; provided that each reference therein to the “Borrower” shall be deemed to be a reference to “Limited Guarantor”.
Administrative Agent’s Fees and Expenses; Indemnification. Each Guarantor, jointly with the other Guarantors and severally, agrees to reimburse the Administrative Agent for its reasonable and documented or invoiced out-of-pocket fees and expenses (but, in the case of legal fees and expenses, limited to the reasonable and documented out-of-pocket expenses, including the reasonable fees, charges and disbursements of one counsel, and, if necessary, one local counsel in each applicable jurisdiction or otherwise retained with the Borrower’s consent) incurred by the Administrative Agent in connection with (i) the preparation, execution, delivery or administration of this Agreement and any amendments, modifications or waivers of the provisions thereof and (ii) the enforcement or protection of its rights hereunder. Each Guarantor, jointly with the other Guarantors and severally, agrees to indemnify the Administrative Agent and the other Indemnified Persons as provided in Section 9.03(b) of the Credit Agreement for Losses of any kind or nature, and subject to the limitations set forth in the Credit Agreement, and the reasonable and documented or invoiced out-of-pocket legal fees and expenses (limited , in the case of each Indemnified Person’s counsel expenses, to the reasonable, fees, disbursements and other charges of a single firm of local counsel in each appropriate jurisdiction (which may include a single firm of special counsel in multiple jurisdictions) of one counsel to all Indemnified Persons taken as a whole (and, solely in the case of an actual or perceived conflict of interest, where each Indemnified Person affected by such conflict notifies the Borrower of the existence of such conflict and thereafter retains its own counsel, of one other firm of counsel for such affected Indemnified Person)), arising out of, in connection with or as a result of this Agreement; provided that each reference therein to the “Borrower” shall be deemed to be a reference to “each Guarantor”. To the fullest extent permitted by applicable law, no Guarantor shall assert, and each Guarantor hereby waives, any claim against any Indemnified Person (i) for any damages arising from the use by others of information or other materials obtained through telecommunications, electronic or other information transmission systems (including the Internet), provided that such indemnity shall not, as to any Indemnified Person, be available to the extent that such damages are determined by a court of competent jurisdiction by final, non-appealable judgme...
