Delivery of Shares

The Shares are granted pursuant to and subject to the provisions of the FS Credit Real Estate Income Trust, Inc. Independent Director Restricted Share Plan (the Plan) and to the terms and conditions set forth on the following pages (the Terms and Conditions). By accepting the Shares, Grantee shall be deemed to have agreed to the Terms and Conditions set forth in this Award Certificate and the Plan. Capitalized terms used herein and not otherwise defined shall have the meanings assigned to such terms in the Plan.

Delivery of Shares. The Shares will be registered in the name of Grantee as of the Grant Date and may be held by the Company during the Restricted Period in certificated or uncertificated form. Any certificate for the Restricted Shares issued during the Restricted Period shall bear a legend in substantially the following form (in addition to any legend required under applicable state securities laws): This certificate and the shares of stock represented hereby are subject to the terms and conditions (including forfeiture and restrictions against transfer) contained in a Restricted Stock Award Certificate between the registered owner of the shares represented hereby and FS Credit Real Estate Income Trust, Inc. Release from such terms and conditions shall be made only in accordance with the provisions of such Certificate, copies of which are on file in the offices of FS Credit Real Estate Income Trust, Inc. Stock certificates for the Shares, without the first above legend, shall be delivered to Grantee or Grantees designee upon request of Grantee after the expiration of the Restricted Period, but delivery may be postponed for such period as may be required for the Company with reasonable diligence to comply, if deemed advisable by the Company, with registration requirements under the 1933 Act, listing requirements under the rules of any securities exchange, and requirements under any other law or regulation applicable to the issuance or transfer of the Shares.

Delivery of Shares from Incentive Plan

This Performance Share Award Agreement (this "Agreement"), dated as of the grant date set forth on Exhibit A (the "Grant Date"), is made and entered between Dick's Sporting Goods, Inc. (the "Company") and ________________________ (the "Grantee"), pursuant to, and subject to, the terms of the Company's 2012 Stock and Incentive Plan, as amended (the "Plan").

Delivery of Shares. On the Grant Date, the Company shall issue the Shares, in either certificated or book entry form, in Grantee's name effective as of the Grant Date, provided that the Company shall retain control of such Shares until the Shares have become vested in accordance with this Agreement. Except as otherwise provided herein, the Performance Shares may not be sold, pledged, assigned, hypothecated, transferred or otherwise disposed of in any manner prior to the Vesting Date.Except as otherwise provided in this Agreement and subject to satisfaction of the applicable tax withholding requirements set forth in Section 8, the Company shall deliver stock certificate(s) or other evidence of ownership representing the number of Shares earned as determined under Section 4 to the Grantee as soon as practicable but in no event later than 30 days following the date set forth on Exhibit A (the "Vesting Date"); provided, however, that: (i) absent a Change in Control, no certificate(s) for, or other evidence of ownership of, Shares shall be delivered with respect to Performance Shares unless the Committee has certified in writing that the applicable Performance Measures and other material terms of this Agreement have been achieved; and (ii) the Company shall not deliver stock certificate(s) or other evidence of ownership representing Shares if the Committee, Board, Administrator or other authorized agent determines, in its sole discretion, that the delivery of such certificate(s) or other evidence of ownership would violate the terms of the Plan, this Agreement or applicable law.

Delivery of Shares from Restricted Stock Agreement

Delivery of Shares. The Shares will be registered in the name of Grantee as of the Grant Date and will be held by the Company during the Restricted Period in certificated or uncertificated form. If a certificate for Restricted Shares is issued during the Restricted Period with respect to such Shares, such certificate shall be registered in the name of Grantee and shall bear a legend in substantially the following form: "This certificate and the shares of stock represented hereby are subject to the terms and conditions (including forfeiture and restrictions against transfer) contained in a Restricted Stock Agreement between the registered owner of the shares represented hereby and Micron Technology, Inc. Release from such terms and conditions shall be made only in accordance with the provisions of such Agreement, copies of which are on file in the offices of Micron Technology, Inc." Stock certificates for the Shares, without the above legend, shall be delivered to Grantee or Grantee's designee upon request of Grantee after the expiration of the Restricted Period, but delivery may be postponed for such period as may be required for the Company with reasonable diligence to comply if deemed advisable by the Company, with registration requirements under the Securities Act of 1933, listing requirements under the rules of any stock exchange, and requirements under any other law or regulation applicable to the issuance or transfer of the Shares.

Delivery of Shares from Performance Based Restricted Stock Units Award

ON Semiconductor Corporation, a Delaware Corporation (Company), hereby grants to (Grantee), a Participant in the ON Semiconductor Corporation Amended and Restated Stock Incentive Plan, as amended from time-to-time (Plan), a Performance-Based Restricted Stock Units Award (Award) for Units (Units) representing shares of the common stock of the Company (Stock). This agreement to grant Stock Units (Award Agreement or Grant Agreement) is made effective as of the 7th day of March, 2016 (Grant Date). If Grantee is a Covered Employee, this Award is designated as a Performance Compensation Award and as such is granted pursuant to Article 11 of the Plan.

Delivery of Shares. No shares of Stock shall be delivered under this Award Agreement until: (i) the Units vest pursuant to Section 3, Section 4.2, or Section 4.3 above, as the case may be; (ii) approval of any governmental authority required in connection with the Award Agreement, or the issuance of shares thereunder, has been received by the Company; (iii) if required by the Committee, the Grantee has delivered to the Company documentation (in form and content acceptable to the Company in its sole and absolute discretion) to assist the Company in concluding that the issuance to the Grantee of any share of Stock under this Grant Agreement would not violate the Securities Act of 1933 or any other applicable federal or state securities laws or regulations; (iv) the Grantee has complied with Section 14 below of this Award Agreement in order for the proper provision for required tax withholdings to be made; and (v) the Grantee has executed and returned this Grant Agreement to the Company (which, in the case of a Grant Agreement provided to the Grantee in electronic format, requires that the Grantee click the ACCEPT button). This Grant Agreement must be executed by Grantee no later than, the earlier of (i) ten (10) months from the Grant Date (through and including the normal close of business of the Company for its headquarters location in Phoenix, Arizona on January 7, 2017); or (ii) the date preceding the first Vesting Date described in Section 3 of this Grant Agreement.

Delivery of Shares. The Shares will be registered in the name of Grantee as of the Grant Date and will be held by the Company during the Restricted Period in certificated or uncertificated form. If a certificate for Restricted Shares is issued during the Restricted Period with respect to such Shares, such certificate shall be registered in the name of Grantee and shall bear a legend in substantially the following form: "This certificate and the shares of stock represented hereby are subject to the terms and conditions (including forfeiture and restrictions against transfer) contained in a Restricted Stock Agreement between the registered owner of the shares represented hereby and Micron Technology, Inc. Release from such terms and conditions shall be made only in accordance with the provisions of such Agreement, copies of which are on file in the offices of Micron Technology, Inc." Stock certificates for the Shares, without the above legend, shall be delivered to Grantee or Grantee's designee upon request of Grantee after the expiration of the Restricted Period, but delivery may be postponed for such period as may be required for the Company with reasonable diligence to comply if deemed advisable by the Company, with registration requirements under the Securities Act of 1933, listing requirements under the rules of any stock exchange, and requirements under any other law or regulation applicable to the issuance or transfer of the Shares.

Delivery of Shares from Performance Based Restricted Stock Units Award

ON Semiconductor Corporation, a Delaware Corporation (Company), hereby grants to ______________ (Grantee), a Participant in the ON Semiconductor Corporation Amended and Restated Stock Incentive Plan, as amended from time-to-time (Plan), a Performance-Based Restricted Stock Units Award (Award) for Units (Units) representing shares of the common stock of the Company (Stock). This agreement to grant Stock Units (Award Agreement or Grant Agreement) is made effective as of the 2nd day of March, 2015 (Grant Date). If Grantee is a Covered Employee, this Award is designated as a Performance Compensation Award and as such is granted pursuant to Article 11 of the Plan.

Delivery of Shares. By accepting the Shares, Grantee shall be deemed to have agreed to the Terms and Conditions set forth in this Award Notification and the Plans. Capitalized terms used herein and not otherwise defined shall have the meanings assigned to such terms in the Plans.
