Additional Conditions Precedent to the Obligations of Purchaser. The obligations of Purchaser to complete the transactions contemplated by this Agreement shall also be subject to the fulfillment of each of the following conditions precedent (each of which is for Purchaser’s exclusive benefit and may be waived by Purchaser, in whole or in part, at any time and from time to time prior to the Effective Time):
