Employment Position and Duties. (a) The Company shall employ Executive and Executive hereby accepts employment with the Company, upon the terms and conditions set forth in this Agreement for the Employment Period.
Employment Position and Duties. You will continue to be employed as the Company’s Vice President, Finance & Administration and you will report to the President and Chief Executive Officer of the Company. You shall perform the duties of such position as are customary, as specified in the Bylaws of the Company, and as may be required by the President and Chief Executive Officer of the Company or the Board of Directors of the Company (or any authorized committee thereof) (the “Board”). During your employment with the Company, you will devote your full-time best efforts and business time and attention to the business of the Company. Your employment relationship with the Company shall also be governed by the general employment policies and practices of the Company (except that if the terms of this Agreement differ from or are in conflict with the Company’s general employment policies or practices, this Agreement will control), and you will be required to abide by the general employment policies and practices of the Company. The Company reserves the right to change your position, duties, reporting relationship, work location, and the Company’s general employment policies and procedures, from time to time in its discretion.
Employment Position and Duties. The Company agrees to employ Executive, and Executive agrees to be employed by the Company, upon the terms and conditions of this Agreement. Upon the Effective Date, Executive shall be employed as the President and Chief Executive Officer of the Company, reporting to the Board of Directors of the Company (the “Board”). The Board shall also take such action as may be necessary to appoint Executive as a member of the Board promptly following the commencement of Executive’s employment. Thereafter, during the Term (as defined below), the Board shall nominate Executive for reelection as a member of the Board at the expiration of the then current term; provided that the foregoing nomination shall not be required to the extent prohibited by legal or regulatory requirements. Executive shall be deemed to have resigned from the Board and from all other positions with the Company or any of its affiliates voluntarily, without any further action required, upon the termination of Executive’s employment with the Company. Executive agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Notwithstanding the above, during the Term, it shall not be a violation of this Agreement for Executive to serve on civic or charitable boards or committees, deliver lectures, fulfill speaking engagements, teach at educational institutions, manage personal investments and, with the consent of the Board, service on corporate boards, so long as such activities do not interfere with the performance of Executive’s responsibilities in accordance with this Agreement. Executive’s duties and authority shall include all the duties and authority contemplated by the Company’s by-laws and those customarily performed by the President and Chief Executive Officer. As Chief Executive Officer, Executive shall be the senior most executive officer of the Company. Executive shall also have such additional duties and authority commensurate with such positions as may be reasonably assigned by the Board. Executive shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to Executive.
Employment Position and Duties. The Company agrees to continue to employ Xxxxxxxx, and Xxxxxxxx agrees to continue to be employed by the Company, upon the terms and conditions of this Agreement. Xxxxxxxx shall be employed by the Company as the Company’s Chief Executive Officer reporting to the Board of Directors of the Company (the “Board”). In this capacity, Xxxxxxxx agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Xxxxxxxx’x duties shall include all those duties customarily performed by the Chief Executive Officer, as well as those additional duties commensurate with his position as Chief Executive Officer that may be reasonably assigned by the Board. Xxxxxxxx shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to Xxxxxxxx.
Employment Position and Duties. Upon the terms and conditions set forth herein, the Company agrees to employ the Employee, and the Employee hereby accepts employment with the Company in the capacity of the "Position" and for the term of the "Employment Period" as defined on the annexed Schedule of Terms of Employment which is fully incorporated into the text hereof by this reference. During the Employment Period, Employee shall perform the normal duties, responsibilities and authority of such Position which shall expressly include those duties and responsibilities set forth on the annexed (Exhibit A) Schedule of Terms of Employment ("Duties and Responsibilities") subject to the power of the Company's board of directors (the "Board") to expand or limit such duties, responsibilities and authority and to override actions of officers of the Company. During the Employment Period, Employee shall report to the Board and shall devote his best efforts and his full business time and attention to the business and affairs of the Company, excluding the permitted vacation time and time-off for sickness and other absences as set forth on said Schedule of Terms of Employment. Employee shall perform his Duties and Responsibilities to the Company hereunder to the best of his abilities in a diligent, trustworthy, businesslike and efficient manner. Nothing in this paragraph shall prohibit Employee from making passive investments that are not otherwise prohibited in this Agreement.
Employment Position and Duties. You shall be employed in the position of VP and General Manager, Offshore Systems Ltd. of the Company. You shall report to the President & Chief Executive Officer (“President & CEO”). You shall faithfully and diligently perform such duties, as set forth by the President & CEO and outlined in your position description, and exercise such powers as are consistent with your position as a VP and General Manager. You shall devote substantially all of your business time, attention and skill to your duties to the Company and shall not engage in, participate in, render any service to, or undertake any employment, corporate directorships, or industry committee positions, either directly or indirectly, with respect to any other business or for any other entity, without the prior written consent of the Company.
Employment Position and Duties. (a) This Agreement shall be effective as of the closing of the Merger, subject to and contingent upon the closing of the Merger.

Subject to the terms hereof, the Company hereby agrees to employ the Executive during the Term (as hereafter defined) to act as, and to exercise all of the powers and functions of, its Vice President and General Counsel and to perform such acts and duties and to generally furnish such services to the Company and its subsidiaries (if any) as is customary for a senior management person with a similar position in like companies, such services to include (a) responsibility for overall internal and external legal, contractual and SEC compliance activities, including interactions with the SEC and exchange officials, other regulatory agencies and external legal counsel, and (b) all duties normally reserved to a company’s principal legal officer for the Company’s legal matters, including retention and engagement of legal counsel and interaction with the Board. Executive shall report directly to the Chief Executive Officer (“CEO”) of the Company and have such other powers, duties and responsibilities as the CEO, in consultation with and approval of the Board of Directors (the “Board”), shall from time to time reasonably prescribe. Executive will be a member of the Company’s Management Committee and Business Development Committee and will be Secretary of the Company, subject to approval by the Board as a named officer. Executive hereby agrees to accept such employment and shall perform and discharge faithfully, diligently, and to the best of her abilities such duties and responsibilities and shall devote sufficient working time and efforts to the business and affairs of the Company and its subsidiaries.

Rxxxxx shall be employed by the Company as the Company’s Chief Financial Officer reporting to the Chief Executive Officer of the Company (the “CEO”) and to the Board of Directors of the Company (the “Board”). In this capacity, Rxxxxx agrees to devote his full time, energy and skill to the faithful performance of his duties herein, and shall perform the duties and carry out the responsibilities assigned to him to the best of his ability and in a diligent, businesslike and efficient manner. Rxxxxx’ duties shall include all those duties customarily performed by a Chief Financial Officer, as well as those additional duties commensurate with his position as Chief Financial Officer that may be reasonably assigned by the CEO and the Board. Rxxxxx shall comply with any policies and procedures established for Company employees, including, without limitation, those policies and procedures contained in the Company’s employee handbook previously delivered to Rxxxxx. To the extent there is any conflict between those policies and this Agreement, this Agreement shall govern.
Employment Position and Duties. 1.1 The Employer agrees to continue to employ the Employee and the Employee hereby agrees to continue to undertake employment upon the terms and conditions herein set forth.
