Governing Law; Enforceability. The interpretation of this Settlement, Waiver and General Release will be construed and enforced in accordance with the laws of the State of Tennessee without regard to that state's principles of conflicts of law. If, at any time after the execution of this Settlement, Waiver and General Release, any provision of this Settlement, Waiver and General Release will be held to be illegal or unenforceable by a court of competent jurisdiction, solely such provision will be of no force or effect.
Governing Law; Enforceability. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky. In the event any provision is determined to be invalid or unenforceable, the same shall not impair the validity or enforceability of the remainder of the Agreement.

The interpretation of this General Release will be governed and construed in accordance with the laws of the State of Florida, without reference to principles of conflict of laws. If any provisions of this General Release will be declared to be invalid or unenforceable, in whole or in part, such invalidity or unenforceability will not affect the remaining provisions hereof which will remain in full force and effect.

This Agreement shall be construed, applied and governed by the laws of the State of Arizona, and specifically the Arizona Motor Vehicle Time Sales Disclosure Act (A.R.S. § 44-281, et seq.). The unenforceability or invalidity of any portion of this Agreement shall not render unenforceable or invalid the remaining portions hereof.

The parties understand and agree that this Agreement is fully enforceable, including without limitation pursuant to California Code of Civil Procedure Section 664.6. The parties agree not to challenge this Agreement as illegal, invalid, or unenforceable.

If any provisions of this Release will be declared to be invalid or unenforceable, in whole or in part, such invalidity or unenforceability will not affect the remaining provisions hereof which will remain in full force and effect.
Governing Law; Enforceability. BOARD and ACTUARY agree that the law governing this Agreement shall be that of the State of California, without regard to its conflict of laws provisions. In the event any provision of this Agreement is unenforceable as a matter of law, that provision will be deemed to be reformed to reflect as nearly as possible the original intent of the parties as expressed in this Agreement and in accordance with applicable law, and the remaining provisions will stay in full force and effect, so long as the primary intent of the parties still may be accomplished.

This Agreement has been executed and delivered within the State of California, and the rights and obligations of the Parties hereunder shall be governed by, construed and enforced in accordance with the laws of the State of California without regard to the conflicts of law doctrine. Each Party irrevocably consents to the exclusive jurisdiction and venue of any federal or state court within Los Angeles County, California, in connection with any matter based upon or arising out of this Agreement or the matters contemplated in this Agreement, agrees that process may be served upon them in any manner authorized by the laws of the State of California for such persons, and waives and covenants not to assert or plead any objection that they might otherwise have to such jurisdiction, venue and such process.
