Governing Law from Management Services Agreement

This MANAGEMENT SERVICES AGREEMENT is entered into as of this 10th day of July, 2017, by and between BDC FLORIDA, LLC, a Florida Limited Liability Company with a principal place of business at 411 7th Street, West Palm Beach, Florida 33401 ("BDCF") and EXPERIENCE ART AND DESIGN, INC., a Nevada corporation with a principal place of business at 7260 W. Azure Drive, Suite 140-952, Las Vegas, NV 89130 ("Manager").

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. 2

GOVERNING LAW from Pledge Agreement

THIS PLEDGE AGREEMENT (herein Agreement) made and entered into this 30th day of June, 2017, by and between SOUTHERN FIRST BANCSHARES, INC., a South Carolina corporation (herein Pledgor or Borrower), having an address of 100 Verdae Boulevard, Suite 100, Greenville, South Carolina 29606 and CENTERSTATE BANK, NATIONAL ASSOCIATION, a national banking association (herein Bank), having an address of 1101 1st Street South, Winter Haven, Florida 33880.

GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida without giving effect to principles of conflict of laws, regardless of the citizenship, residency, location or domicile of Pledgor.

Governing Law from Services Agreement

This Board of Directors Services Agreement (the Agreement), dated March 10, 2017, is entered into between The Greater Cannabis Company, Inc., Inc., a Florida corporation (the Company), and Jimmy Wayne Anderson, an individual with a principal place of residence in St. Petersburg, FL (Director).

Governing Law. This Agreement shall be governed by the law of the State of Florida. In the event of any dispute regarding the performance or terms hereof, the prevailing party in any litigation shall be entitled to an award of reasonable attorneys fees and costs of suit, together with any other relief awarded hereunder or in accordance with governing law.

Governing Law from Employment Agreement

THIS EMPLOYMENT AGREEMENT (the Agreement) entered into as of June 11, 2017 (the Effective Date), between Aspen Group, Inc., a Delaware corporation (the Company), and Cheri St. Arnauld, Ed. D (the Executive).

Governing Law. This Agreement shall be governed or interpreted according to the internal laws of the State of Delaware without regard to choice of law considerations and all claims relating to or arising out of this Agreement, or the breach thereof, whether sounding in contract, tort, or otherwise, shall also be governed by the laws of the State of Arizona without regard to choice of law considerations.

Governing Law from Executive Employment Agreement

THIS EXECUTIVE EMPLOYMENT AGREEMENT (Agreement) dated as of June 8, 2017, is made by and between Beasley Broadcast Group, Inc., a Delaware limited liability company (together with any successor thereto, the Company) and B. Caroline Beasley (the Executive).

Governing Law. This Agreement shall be governed, construed, interpreted and enforced in accordance with the substantive laws of the Florida (organization) values">Florida (location) values">State of Florida, without reference to the principles of conflicts of law of the State of Florida or any other jurisdiction, and where applicable, the laws of the United States. Executive agrees that any claim arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts of competent jurisdiction for Collier County, Florida. Executive consents to the personal jurisdiction of such courts and thereby waives: (a) any objection to jurisdiction or venue; or (b) any defense claiming lack of jurisdiction or improper venue, in any action brought in such courts. Executive further acknowledges that Employee is executing this Agreement in the State of Florida.

Governing Law from Executive Employment Agreement

This Omnibus Loan Amendment Agreement (the "Agreement") is made on this 31st day of May, 2017 by and among CLS Holdings USA, Inc., a Nevada corporation (the "Company"), Jeffrey I. Binder ("Binder"), Frank Koretsky ("Koretsky"), Newcan Investment Partners LLC ("Newcan") and CLS CO 2016, LLC ("CLS CO")(Binder, Koretsky, Newcan and CLS CO are collectively referred to as the "Insiders").

Governing Law. This Agreement shall be governed by Florida law.

Governing Law from Long Term Incentive Plan

Governing Law. The Plan and each Award Document shall be governed by the laws of the state of Florida, without application of the conflicts of law principles thereof.
