Stock Purchase Agreements. Each issuance of shares requires in most instances a Stock Purchase Agreement (SPA). Employee agrees to execute such SPAs as required and abide by reasonable terms and conditions.
Stock Purchase Agreements. All officers and employees of and consultants to Acusphere who purchase shares of Acusphere's capital stock shall be required to execute a stockholder agreement providing for (i) vesting of shares (or option to purchase shares) over a four-year period, (ii) market stand-off agreements similar to that set forth in Section 2.14 of this Agreement, and (iii) rights of first refusal on transfers of such shares which shall first be a right of Acusphere, then of Acusphere's assignees; provided however, that any such requirements may be waived by action of Acusphere's Board of Directors, provided that any representative of the Investors on the Board of Directors of Acusphere consents to such waiver.
