Certificate of Responsible Officer. The Administrative Agent shall have received (i) a certificate of a Responsible Officer of the Borrower, certifying that the conditions precedent set forth in Section 4.03 of the Original Credit Agreement shall have been satisfied on and as of the Amendment and Restatement Effective Date and (ii) a solvency certificate from the chief financial officer of the Borrower (after giving effect to the Term Loan Transactions) substantially in the form attached as Exhibit K to the Original Credit Agreement.

Certificate of Responsible Officer. Promptly upon any officer of any Borrower or FSI obtaining knowledge (a) of any condition or event which constitutes an Event of Default or Potential Event of Default under this Agreement, (b) that any Person has given any notice to any Borrower, FSI, TEC, PLMI, or MILPI or taken any other action with respect to a claimed default or event or condition of the type referred to in Section 8.1.2, (c) of the institution of any litigation or of the receipt of written notice from any Governmental Authority as to the commencement of any formal investigation involving an alleged or asserted liability of TEP of any amount and of any Borrower other than TEP, FSI, TEC, PLMI, or MILPI equal to or greater than $500,000 or any adverse judgment in any litigation involving a potential liability of TEP of any amount and of any Borrower other than TEP, FSI, TEC, PLMI, or MILPI equal to or greater than $500,000, or (d) of a material adverse change in the business, operations, properties, assets or condition (financial or otherwise) of any Borrower, FSI, TEC, PLMI, or MILPI, a certificate of a Responsible Officer of any Borrower or FSI, as applicable, specifying the notice given or action taken by such Person and the nature of such claimed default, Event of Default, Potential Event of Default, event or condition and what action such Borrower, FSI, TEC, PLMI, or MILPI has taken, is taking and proposes to take with respect thereto;

Certificate of Responsible Officer. The Agent shall have received in form and substance satisfactory to it a certificate of a Responsible Officer of the Borrower, dated the Closing Date, stating that (a) the representations and warranties contained in Section 8.01 and in the other Loan Documents are true and correct on and as of the date of such certificate as though made on and as of such date and (b) on and as of the Closing Date, no Default shall have occurred and be continuing or shall result from the initial Borrowing.
