Master Landlord’s Consent Sample Clauses

Master Landlord’s Consent. The undersigned, as Master Landlord under the Master Lease, acknowledges and agrees that it is familiar with, and has read and understands, all of the provisions of this Lease, and hereby consents to this Lease as a sublease of the Premises under the Master Lease and all of the terms and conditions contained in this Lease, (including, without limitation, the paragraph immediately preceding the Summary). Master Landlord further agrees that (a) in the event of the cancellation or termination of the Master Lease prior to the expiration date or earlier termination of this Lease (for any reason other than as a result of Tenant’s Default under this Lease), Master Landlord shall immediately either (A) recognize this Lease in writing as a direct lease between Master Landlord and Tenant (upon all of the terms and conditions set forth in this Lease) and attorn to Tenant hereunder and perform all of Landlord’s covenants, duties, liabilities and obligations under this Lease thereafter to be performed, including, without limitation, with respect to any continuing defaults (and by execution of this Lease, Tenant hereby agrees, under such circumstances, to recognize this Lease as a direct Lease between Master Landlord and attorn to Master Landlord hereunder), or (B) enter into a new Master Lease with a third party Meet Me Room Sublease which is affiliated with Master Landlord (a “Substitute Tenant”) (subject to Section 23.19 of this Lease) on terms substantially similar to the terms of the Master Lease in all material respects, and shall simultaneously cause such Substitute Tenant to assume in writing the Landlord’s obligations under this Lease (such that any such Substitute Tenant would become the Landlord under this Lease), and (b) in the event of any such recognition or new lease, Tenant’s possession, use and occupancy of the Premises under this Lease, and Tenant’s rights and remedies under this Lease shall not be disturbed or interfered with by Master Landlord (provided Tenant is not in Default under this Lease), subject, however, to Master Landlord’s (or Substitute Tenant’s, as the case may be) rights and remedies under this Lease (as landlord) in the event of such recognition and attornment or new lease, as the case may be (and, without limiting the foregoing, Master Landlord will not join Tenant as a party defendant for the purpose of terminating Landlord’s interest and estate under the Master Lease). Master Landlord’s Consent. Master Landlord consents to the Sublease. This consent is granted only on the terms and conditions stated in this Agreement. Master Landlord is not bound by any of the terms, covenants, or conditions of the Sublease. The Sublease is subject and subordinate to the Master Lease.
Master Landlord’s Consent. 16.1. This Sublease and the obligations of the parties hereunder are expressly conditioned upon Xxxxxxxxxxx's obtaining the prior written consent of Master Landlord to this Sublease (the “Consent”). Subtenant shall promptly deliver to Sublandlord any information reasonably requested by Master Landlord in connection with the Consent with respect to the nature and operation of Subtenant's business, the financial condition of Subtenant, and any other information reasonably requested by Master Landlord.
Master Landlord’s Consent. This Sublease is expressly conditioned upon the receipt of Master Landlord's written consent hereto. Subtenant agrees to cooperate with Sublandlord in providing such information as is necessary to satisfy such condition and to execute all agreements reasonably requested by Master Landlord in connection therewith.

Master Landlord’s Consent. This Sublease shall be subject to the Landlord’s consent and to the covenants, agreements, terms, provisions and conditions of a “Consent to Sublease” duly executed by Landlord, Sublandlord and Subtenant and on such customary form of Landlord’s which Landlord shall adopt for such purpose.
Master Landlord’s Consent. This Sublease is subject to Master Landlord’s consent as provided under the Master Lease, and will be effective only upon receipt of such consent (the “Master Landlord’s Consent”). If Master Landlord’s Consent is not received within thirty (30) days of the mutual execution and delivery of this Sublease, either party hereto may terminate this Sublease upon written notice to the other party given prior to the receipt of Master Landlord’s Consent.

Master Landlord’s Consent. With respect to any approval or consent required to be obtained from the Master Landlord under the Master Lease, such approval or consent must be obtained from both Master Landlord and Sublandlord, and the approval or consent of Sublandlord may be withheld (and such withholding of consent by Sublandlord shall be deemed reasonable) if Master Landlord’s approval or consent is not obtained. In no event shall Sublandlord have any liability to Subtenant by reason of Master Landlord’s failure or refusal to grant consent to any matter requested by Subtenant. However, Sublandlord shall act diligently and use Sublandlord’s commercially reasonable efforts (at no out-of-pocket cost or expense to Sublandlord) to obtain Master Landlord’s approval or consent when the same is requested by Subtenant. Any references in the Master Lease to “Master Landlord” in those provisions of the Master Lease dealing with notice to, or the consent of, the “Master Landlord” shall be deemed to refer to both Master Landlord and Sublandlord. In the event Subtenant requests consent to any matter which requires Master Landlord’s approval or consent, Subtenant shall be responsible for payment of all costs and expenses Sublandlord may be required to pay to Master Landlord in connection therewith.
Master Landlord’s Consent. Sublandlord and Subtenant expressly acknowledge and agree that this Sublease is subject to Master Landlord’s prior written consent to this Sublease, on a form to be provided by Master Landlord that is reasonably acceptable to Sublandlord and Subtenant (“Master Landlord’s Consent”). Sublandlord shall use commercially reasonable efforts to obtain Master Landlord’s Consent, and Subtenant agrees to cooperate in all reasonable respects in connection therewith. If Sublandlord fails to obtain Master Landlord’s Consent within thirty (30) days after execution of this Sublease by both Subtenant and Sublandlord, then either Sublandlord or Subtenant may terminate this Sublease by giving written notice thereof to the other, and Sublandlord shall return to Subtenant any amounts delivered by Subtenant under this Sublease. Neither party shall have any liability to the other for any termination or cancellation of this Sublease as a result of Master Landlord’s failure or refusal to consent to this Sublease, unless such party by its willful act caused Master Landlord to refuse timely consent to this Sublease.
Master Landlord’s Consent. This Sublease is not and shall not be effective unless and until Master Landlord shall have delivered to Sublandlord Master Landlord’s written consent to this Sublease in accordance with the provisions of Section 26 of the Original Lease. If Master Landlord fails to consent to this Sublease within thirty (30) days after the date of this Sublease, either party may terminate this Sublease, by giving the other party ten (10) days’ prior written notice thereof, in which case this Sublease shall terminate on the day following the last day of the ten (10)-day notice period (unless Master Landlord’s consent is obtained during such ten (10)-day period), in which event Sublandlord shall promptly return to Subtenant all monies and deposits paid by Subtenant to Sublandlord under this Sublease, whereupon neither party shall have any obligations to the other party under this Sublease. Sublandlord shall submit its request for Master Landlord’s written consent to this Sublease promptly after the date of this Sublease, and Sublandlord and Subtenant shall cooperate reasonably in providing any information or documentation that Master Landlord may reasonably request in connection with Master Landlord’s approval of this Sublease. Sublandlord shall be solely responsible for all costs and fees payable to Master Landlord under the Master Lease in connection with Master Landlord’s review and approval of this Sublease.
