Right to Inspect; Further Assignments and Security Interests. Agent may at all reasonable times (and at any time when an Event of Default exists) have access to, examine, audit, make copies (at Grantor's expense) and extracts from and inspect Grantor's premises and examine Grantor's books, records and operations relating to the Patents and Licenses; PROVIDED, THAT in conducting such inspections and examinations, Agent shall use reasonable efforts not to disturb unnecessarily the conduct of Grantor's ordinary business operations. From and after the occurrence of an Event of Default, Grantor agrees that Agent, or a conservator appointed by Agent, shall have the right to establish such reasonable additional product quality controls as Agent or such conservator, in its sole and absolute judgment, may deem necessary to assure maintenance of the quality of products sold by Grantor under the Patents and the Licenses or in connection with which such Patents and Licenses are used. Grantor agrees (i) not to sell or assign its respective interests in, or grant any license under, the Patents or the Licenses without the prior and express written consent of Agent, (ii) to maintain the quality of such products as of the date hereof, and (iii) not to change the quality of such products in any material respect without Agent's prior and express written consent.

Right to Inspect; Further Assignments and Security Interests. Lender shall have the right, at any reasonable time and from time to time, to inspect Borrower’s premises and to examine Borrower’s books, records and operations relating to the Trademarks, including, without limitation, Borrower’s quality control processes; provided, that in conducting such inspections and examinations, Lender shall use its best efforts not to disturb unnecessarily the conduct of Borrower’s ordinary business operations and provided further, that if no Event of Default has occurred and is continuing, Lender shall give Borrower at least 24 hours prior written notice of such inspection. From and after the occurrence of an Event of Default, and subject to the terms of the Note Purchase Agreement and the Senior Subordination Agreement, Borrower agrees that Lender or a conservator appointed by Lender, shall have the right to establish such reasonable additional product quality controls as Lender or such conservator, in its sole judgment may deem necessary to assure maintenance of the quality of products sold by Borrower under the Trademarks. Borrower agrees (i) not to sell or assign its respective interests in, or grant any license under, the Trademarks without the prior written consent of Lender, which consent shall not be unreasonably withheld or delayed, (ii) to maintain the quality of any and all products in connection with which the Trademarks are used, consistent with the quality of said products as of the date hereof, and (iii) not to change the quality of such products in any material respect without the prior written consent of Lender, which consent shall not be unreasonably withheld or delayed.

The Company agrees (i) not to sell or assign its respective interests in, or grant any license under, the Trademarks or the Licenses outside the ordinary course of business in accordance with past practices without the prior written consent of Agent, (ii) to maintain the quality of any and all products in connection with which the Trademarks are used, consistent with the quality of said products as of the date hereof, and (iii) not to reduce the quality of such products in any material respect without the prior written consent of Agent.

Notwithstanding the foregoing, after the occurrence and during the continuation of an Event of Default, the Lender shall have the right to conduct an inspection at such times as the Lender may, in its discretion, deem appropriate. Any and all such visitations and inspections by the Lender shall be at the Borrower's expense. The Borrower agrees not to sell or assign its interest in, or grant any license under, the Patents or Licenses without the prior written consent of the Lender.
