Position; Duties; Location. Subject to the terms and conditions of this Agreement, Executive shall hold the position of Chief Executive Officer. Executive’s activities shall be as directed by the Company’s Board of Directors (“Board”) and shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies. Executive shall devote Executive’s full business energies, interest, abilities and productive time to the proper and efficient performance of Executive’s duties under this Agreement. Executive shall report to the Board and shall work primarily from the Company’s headquarters, which will be established in Chicago, Illinois, provided that the Company reserves the right to require periodic business travel.

Executive initially shall report to the CEO and work primarily from the Company’s offices/facilities in New York City provided that the Company reserves the right to require business travel.

Executive agrees to be employed by and to serve the Company as its President, Chief Medical Officer and Chief Regulatory Officer, and the Company agrees to employ Executive in such capacities. Executive shall have the powers and shall perform the services and duties that are customarily associated with these positions. Executive may devote such time that Executive deems appropriate for managing Executive’s own investment portfolio and may with the approval of the Board of Directors of the Company (the “Board”) be a member of the board of directors of a for-profit company, non-profit, civic or charitable organizations so long as such service does not materially interfere or conflict with Executive’s duties hereunder. Executive shall perform the duties assigned to Executive to the best of Executive’s ability and in the best interests of Company. Executive will report to, be responsible to and obey the lawful directives of the Board. Executive shall be based in Emeryville, California, except for required travel on the Company’s business.

Without limiting Executive’s rights under Section 5.3 below, the Company reserves the right to change or modify Executive’s title and/or duties as business needs may require. Executive shall devote Executive’s business energies, interest, abilities and productive time to the proper and efficient performance of Executive’s duties under this Agreement. Executive initially shall report to the CEO and work from the Company’s offices/facilities in New York City when necessary. Otherwise, Executive is permitted to work from any location within 100 miles of New York City and further provided that the Company reserves the right to require business travel.

Position; Duties; Location. Subject to the terms and conditions of this Agreement, Executive shall hold the position of President and Chief Operating Officer of the Company. Executive’s activities and duties shall be as directed by the Company’s Chief Executive Officer (the “CEO”). It is understood and agreed that Executive’s duties may include providing services to or for the benefit of the Company’s affiliates, including, but not limited to, Axovant Sciences Ltd. (the “ASL”), pursuant to that certain Services Agreement by and between ASL and the Company effective as of March 7, 2015 and as may be amended from time to time, or otherwise, provided, that Executive agrees that she will not provide any services under this Agreement from within the United States for ASL or any affiliate of ASL that is organized in a jurisdiction outside of the United States. With respect to the foregoing, Executive shall be the Principal Operating Officer of ASL, which position constitutes an officer of ASL for purposes of Section 16(a)(1) of the Securities Exchange Act of 1934 (the “ASL COO”), but for the avoidance of doubt Executive shall not become an employee of ASL. Executive shall devote Executive’s full business energies, interest, abilities and productive time to the proper and efficient performance of Executive’s duties under this Agreement; provided, however, that Executive may devote reasonable periods of time to (a) serving on boards of directors of other corporations subject to the prior approval of the CEO (except that Executive shall be entitled to serve on the boards of directors of the entities set forth on Appendix I to this Agreement), (b) engaging in charitable or community service activities, and (c) managing Executive’s personal investments and ventures so long as none of the foregoing additional activities materially interfere with Executive’s duties under this Agreement. Executive shall report to the CEO and shall work generally from the Company’s offices in New York City, New York. Executive further understands and agrees that her duties may require periodic business travel, including but not limited to travel to the United Kingdom for ASL’s Board of Directors (the “Board”) meetings and to Basel, Switzerland for Axovant Sciences GmbH business.
Position; Duties; Location. You will continue to hold the position of Senior Vice President and Chief Financial Officer reporting to me, Xxxx Xxxxx, President & Chief Executive Officer. In this position you will perform duties outlined in the job description and such other duties as may be assigned. You will be based at the Company’s offices in Pleasanton, CA. By signing this Amended Offer Letter, you represent and warrant to the Company that you are under no contractual commitments inconsistent with your obligations to the Company.

Executive’s activities shall be as directed by the Company’s Chief Executive Officer (the “CEO”) and shall include such duties and activities as typically associated with Executive’s position, and as otherwise may be assigned to Executive from time to time. The Company reserves the right to change or modify Executive’s title and/or duties as business needs may require. Executive shall devote Executive’s business energies, interest, abilities and productive time to the proper and efficient performance of Executive’s duties under this Agreement. Executive shall report to the CEO and shall work primarily from the Company’s facilities in Birmingham, AL, provided that the Company reserves the right to require business travel.
Position; Duties; Location. During the Term of Employment (as hereinafter defined), the Employee will serve as the Vice President of Marketing of the Company, at the discretion of the President and Chief Executive Officer of the Company, and shall perform such duties consistent with such position as are assigned to him from time to time by the President and Chief Executive Officer of the Company (including being responsible for the Company's world-wide marketing efforts). The Employee agrees to devote all of his business time, skill, attention and best efforts to the Company's business to discharge and fulfill the responsibilities assigned to him in that capacity. The Employee agrees not to render services to any other person or entity of any kind for compensation other than as set forth on Schedule A hereto, and in addition shall not engage in any activity that conflicts or interferes with the performance of the duties and responsibilities of the position. The Employee and the Company expect that the Employee will spend time in Houston, Texas as required. To facilitate this, during the Term of Employment the Company will provide the Employee at the Company's expense with a furnished temporary apartment in Houston and will pay reasonable travel expenses incurred by the Employee to and from Houston. With the approval of the President and Chief Executive Officer of the Company, the Employee may also receive reimbursement for the reasonable travel expenses of his immediate family to and from Houston.
