REPRESENTATIONS AND WARRANTIES CONCERNING THE SELLER AND PARENT. As a material inducement to Purchaser to enter into this Agreement and consummate the transactions contemplated hereby, the Seller and the Parent hereby jointly and severally represent and warrant to Purchaser that all of the statements contained in this Section 3 are correct and complete in all material respects as of the date of this Agreement, and hereby covenant that said statements will be correct and complete in all material respects as of the Effective Time (as though made as of the Effective Time and as though the Effective Time were substituted for the date of this Agreement throughout this Section 3, except as the context otherwise dictates).
