Employment, Duties and Authority. The Employer hereby shall employ Executive as its Senior Vice President and Chief Credit Administrator, and Executive shall accept such employment. Executive agrees to perform the duties that are customarily performed by a Chief Credit Administrator of a bank holding company and a state-chartered banking institution and accepts all other duties described herein or as prescribed by the Employer’s Boards of Directors (the “Board”) and agrees to discharge the same faithfully and to the best of his ability and the highest and best standards of the banking industry, in accordance with the policies of the Employer’s Articles of Incorporation, Bylaws, policies and procedures. Executive shall devote his full business time and attention to the business and affairs of Employer for which he is employed and shall perform the duties thereof to the best of his ability. Except as permitted by the prior written consent of the Employer’s Board, Executive shall not directly or indirectly render any services of a business, commercial or professional nature to any other person, firm or corporation, whether for compensation or otherwise, which are in conflict with Employer’s interests. Executive shall have such responsibility and duties and such authority to transact business on behalf of Employer as are customarily incident to the office of Chief Credit Administrator of a bank holding company and a state-chartered banking institution.
Employment, Duties and Authority. 1.1 The Company hereby employs Employee and Employee hereby accepts employment by the Company on the terms, covenants and conditions herein contained.

Charter hereby agrees to employ the Executive, and the Executive agrees to be employed, as Executive Vice President-Corporate Development and Chief Technology Officer of Charter. As Executive Vice President-Corporate Development and Chief Technology Officer of Charter, the Executive shall report directly to the President and Chief Executive Officer of Charter, and, subject to the control and supervision of such President and Chief Executive Officer of Charter, shall have such duties and responsibilities as are typically performed by a chief technology officer and such other executive duties not inconsistent with the foregoing as may be assigned to Executive from time to time. The Executive shall devote substantially all of his business time, attention, energies, best efforts and skills to the diligent performance of his duties hereunder. Notwithstanding the foregoing, it is understood that the Executive may expend a reasonable amount of time for personal. charitable, investment and other activities so long as such activities shall not interfere in any material respect with the performance by the Executive of his duties and responsibilities hereunder.

Executive agrees to perform the duties that are customarily performed by a Regional President of a state chartered banking institution and accepts all other duties described herein or as prescribed by the Employer’s Board of Directors, and agrees to discharge the same faithfully and to the best of his ability and the highest and best standards of the banking industry, in accordance with the policies of the Employer’s Articles of Incorporation, Bylaws, Policies and Procedures. Executive shall devote his full business time and attention to the business and affairs of Employer for which he is employed and shall perform the duties thereof to the best of his ability. Employment, Duties and Authority. The Employer hereby employs Executive and Executive hereby accepts employment by the Employer on the terms, covenants and conditions herein contained, as the Co-Chief Operating Officer of the Subsidiaries. The Executive shall have such duties, responsibilities and authority as the by-laws of the Employer shall from time to time provide and as the Board of Directors of the Employer shall from time to time prescribe in writing and shall be in joint charge, together with the other Co-Chief Operating Officer, of all day-to-day operations of the Subsidiaries. During the term of Executive's employment hereunder, Executive shall devote his full time to the performance of his duties and responsibilities hereunder and will perform such duties and responsibilities faithfully and with reasonable care for the welfare of the Employer. Executive shall provide services to the Employer principally at its Subsidiaries' offices in the State of Florida, or at such other reasonably proximate location and shall not be obligated to relocate his residence. During the term of his employment hereunder, Executive shall not perform any services for compensation for any person, firm, partnership or corporation other than the Employer without the express written consent of the Board of Directors of the Employer; provided that Executive may provide services for charitable and not-for-profit organizations in his discretion.
Employment, Duties and Authority. The City agrees to employ Employee as City Attorney to perform the functions and duties of that position. The duties and authority of Employee, consistent with State law, City Charter or Ordinance, shall include as directed and/or needed, but not be limited to the following: Prosecute City Municipal Cases in Sweet Home Municipal Court and on Appeal; Prepare Complaints, Affidavits for Warrants and other Court documents; Prepare Offers, Victim Letters and Discovery; Attend City Council Meetings; Prepare and Review Ordinances, Resolutions, Contracts, Deeds and other legal documents; Research legal issues presented by the City Council and City Staff; and Make himself available to perform other functions and duties of a City Attorney as directed and/or needed.
Employment, Duties and Authority. The Employer hereby agrees to employ the Employee, and the Employee agrees to be employed, as an officer, with the title Vice Chairman of the Employer. The Employee shall report directly to the President and Chief Executive Officer of the Employer (the "CEO") and shall be responsible for duties relating to the government and public relations of the Employer and such other duties as the CEO may reasonably determine from time to time. The Employee shall serve as the Employer's representative to the National Cable Television Association (NCTA), and other industry organizations, in his capacity as a director or such other position consistent with representing the Employer. In addition, the Employee shall, jointly with Howaxx X. Xxxx ("XOOD"), exercise the duties of the CEO, with respect to the stay bonuses referred to in Section 2.2 of the Charter Purchase Agreement, if the CEO is unable to exercise such duties. The Employee shall devote substantially all of his business time, attention, energies, best efforts and skills to the diligent performance of his duties hereunder. Notwithstanding the foregoing, it is understood that the Employee may expend a reasonable amount of time for personal, charitable, investment and other activities. The expenditure by the Employee of time for personal, charitable, investment and other activities shall not interfere in any material respect with the performance by the Employee of his duties and responsibilities hereunder.
Employment, Duties and Authority. Manager shall perform all duties required of the position of City Manager, including but not limited to, those duties and responsibilities outlined in Chapter 2.08 of the Xxxxx Municipal Code, in the job description attached hereto and incorporated herein as Exhibit A, and any other duties and responsibilities authorized or directed by City Council. At the discretion of the Manager, any duties described above may be delegated to subordinate employees as appropriate. In performance of all duties and responsibilities, Manager shall abide by the policies, rules and directives of City Council, keep the Council advised of the affairs and needs of the City, and shall perform such duties and responsibilities in accordance with the ordinances of the City of Xxxxx and laws of the State of Oregon and the United States. Manager shall abide by all the terms and conditions contained in the personnel policies of the City of Xxxxx, as amended from time to time. In the event of a conflict between the personnel policies and this Agreement, this Agreement shall control.
Employment, Duties and Authority. The City agrees to employ Employee as Municipal Court Judge to perform the functions and duties of that position. The authority of Employee, consistent with State law, City Charter or Ordinance, shall include, but not be limited to the following: • Preside over arraignments, trials, and hearings for the following case types: criminal cases, violations, towing hearings, parking citations and administrative appeals, and appeals to the Court as set forth in City Charter, Ordinance or State Law; • Oversee the Municipal Court judicial function; • Update court orders and rules as needed; • Provide an annual report to City Council; • Research and additional projects as agreed to by the Municipal Court Judge and Finance Director; • Make himself available as a speaker at Sweet Home schools or other community forums to discuss issues of mutual interest to the Court and citizens of Sweet Home and • Abide by the position description which is attached to this document and hereby made a part of this agreement.
Employment, Duties and Authority. 1.1 The Company agrees to continue Executive in its employ, and Executive agrees to remain in the employ of the Company, for the period stated in paragraph 3 hereof and upon the other terms and conditions herein provided.
