Additional DRC Default Rights. In the event that Amphastar fails to pay Organon the balance of the purchase price of $12,000,000 when due in accordance with Section 4.1(b) and (c) of the Sale Agreement and DRC pays to Organon the amount of purchase price not paid by Amphastar (the "Additional Invested Amount") then in addition to and not in substitution for any rights and remedies of DRC under this Agreement, the Security Agreement, at law or in equity:
