Permitted Users. Client may access and use only the Course Materials to which Client has subscribed, and such access and use is limited to the number of users identified in the Order Form and any subsequent Orders placed under an Order Form, and for the Contract Term. Orders for additional Subscriptions may be agreed by the parties from time to time under a particular Order Form, and shall set forth the number of additional Subscriptions, the total Subscription Fees payable therefore, and any other terms and conditions relating to such Order (each, an “Order”). Each Order Form and each Order, upon execution by both parties, shall form a part of this Agreement, and shall be subject to all of the terms and conditions hereof. An Order may take the form of a supplementary document signed by each party or acknowledged by each party electronically (whether by facsimile transmission, email or by other similar reliable means evidencing the intent of the parties). Each Order shall be subject to the terms of this Agreement and shall be incorporated herein by reference. A Subscription is limited to use by one individual user and may not be transferred to another user.
Permitted Users. The IP granted hereunder shall only be used by Customer in accordance with the License grant as indicated in the Order. The IP may only be used for internal business needs of Customer and by Customer’s authorized affiliates, employees, consultants, and agents who have a need to access and use the IP. Customer will not, nor allow any third party to, lease, lend, use the IP for services purposes for the benefit of a third party, except as authorized in writing by Xxxxx.
Permitted Users. (a) Tenant has advised Landlord that Xxxxxx Street Capital LLC ("Xxxxxx") and one or more other Persons, who are clients of Tenant or with whom Tenant has a substantial continuing business relationship (each a "Permitted User") may from time to time be using space in the Premises. Notwithstanding anything to the contrary in this Article 15 each Permitted User shall be allowed such use, without Landlord's consent, but upon prior notice to Landlord, upon the following conditions: (i) Landlord or Tishman Speyer Properties L.P. or its successor shall not be litigating against such proposed Permitted User within the prior 12 months, (ii) the Permitted User shall not be entitled, directly or indirectly, to diplomatic or sovereign immunity and shall be subject to service of process in, and the jurisdiction of the court of, the State of New York, (iii) the total number of Permitted Users using desk space pursuant to this Section 15.14 shall not exceed 5 at any one time, (iv) the aggregate number of rentable square feet used by all Permitted Users (which term shall exclude Xxxxxx for the purposes of this clause as long as (x) Tenant retains at least the same ownership interest in Xxxxxx as Tenant has on the date hereof and (y) all Permitted Users at no time occupy more than 7,000 rentable square feet) at anyone time shall not exceed 5,000 rentable square feet, and (v) Tenant shall receive no rent, payment or other consideration in connection with such occupancy in respect of such space other than nominal rent payments (in no event greater per rentable square foot than the Fixed Rent, Tenant's Operating Payment and Tenant's Tax Payment payable hereunder per rentable square foot) or other consideration for actual services rendered or provided by or for such occupant.
Permitted Users. The Website is intended for use only by individuals located in Canada and who have reached the age of majority in their jurisdiction of residence, can form legally binding contracts under applicable law, and have accepted this Agreement. The Website is not intended for persons resident or located outside Canada. Fairstone Bank may, in its sole discretion, refuse permission to access and use the Website. If you are located outside of Canada and you choose to access and enter this Website, you are advised that it may not be legal in that jurisdiction for you to access or use the facilities available on this Website and the legal requirements of that jurisdiction may prohibit you from dealing or otherwise transacting in that jurisdiction.
Permitted Users. You will ensure that all of your Permitted Users agree to the terms of this SSA and have been notified of how Fluke collects, uses, and shares information, as described in the Fluke Privacy Policy before providing your Permitted Users with access to the Licensed Services. All references to “you” or “your” in this SSA shall also be construed to refer to your Permitted Users. You are responsible for (a) identifying and authenticating all Permitted Users; (b) approving access by such Permitted Users to the Licensed Services; (c) ensuring Permitted Users’ compliance with this SSA; (d) controlling against unauthorized access or use by Permitted Users; (e) maintaining the confidentiality of user names, passwords and account information; and (f) providing or obtaining any necessary notifications or consents from Permitted Users as required by applicable law, including for any features of OneQA enabled devices and tools (“Tools”). Fluke is not responsible for any harm caused by your Permitted Users, including individuals who were not authorized to have access to the Licensed Services but who were able to gain access because user names, passwords or accounts were not terminated on a timely basis in your local identity management infrastructure, your local computers, or otherwise by you or on your behalf. You are responsible for all activities that occur under or in connection with your and your Permitted Users’ user names, passwords or accounts (except as a result of Fluke’s breach of this SSA) or as a result of your or your Permitted Users’ access to the Licensed Services and agree to notify Fluke immediately in writing of any unauthorized use. You agree to make every reasonable effort to prevent unauthorized third parties from accessing the Licensed Services.
Permitted Users. School Bands are permitted only for use by non-profit Educational Institutions or other non-profit entities. This Addendum shall not apply to Educational Institutions which are for-profit or which do not provide educational services.
Permitted Users. The Material and/or Data will be used solely by Recipient Principal Investigator and those under his/her direct supervision.
Permitted Users. “Permitted Users” shall mean the employees, board members and volunteers of Member with a professional need to know or need to access the Platform and ANet Content in connection with the implementation of the Program. ANet will either issue to Member or authorize a Member administrator to create and issue to each Permitted User, a user identification number and/or password for access to and use of the Platform. Member and its Permitted Users are responsible for maintaining the confidentiality of all user identification numbers and/or passwords and for ensuring that each user identification number and/or password is used only by the Permitted User to which it was issued. Member shall be solely responsible for the Permitted Users’ compliance with this Agreement, and for any and all activities that occur under Member’s account. Member will restrict Permitted Users from sharing passwords. Member will immediately notify ANet of any unauthorized use of Member’s account or any user identification number and/or password, or any other breach of security known to Member. Member will ensure that it has obtained any necessary and appropriate consents from students to establish student accounts for access to the Platform. ANet will have no liability for any loss or damage arising from Member’s failure to comply with the terms set forth in this Section.
Permitted Users. You may permit other members of your organization or household to access the service provided that each such person abides by the terms and conditions of this Agreement. By permitting others to use your account, you assume all risk and liabilities resulting from their use. If you authorize a minor to use your account, you are fully responsible for the online conduct of the minor, for controlling the minor's access to and use of the Service, and for the consequences of any misuse. It is your responsibility to safeguard any personal identification number and password required to access the system. Your right to authorize others to use your account is not assignable or transferable.
Permitted Users. The Software may be accessed solely by Customer's employees or the employees of Customer's distributors, resellers, vendors, partners or other service providers who are explicitly authorized by Customer to access and use the Software (each, a “User”). Customer will ensure that the Users comply with the terms of this Agreement and shall be fully responsible for any breach of this Agreement by a User. Customer shall immediately report any unauthorized access or use of the Software to Company.
