Access to Personnel and Working Papers. The Company will request the Company Auditors to make available to the Genworth Auditors both the personnel who performed or are performing the annual audit of the Company and, consistent with customary professional practice and courtesy of such auditors with respect to the furnishing of work papers, work papers related to the annual audit of the Company, in all cases within a reasonable time after the Company Auditors’ opinion date, so that the Genworth Auditors are able to perform the procedures they consider necessary to take responsibility for the work of the Company Auditors as it relates to the Genworth Auditors’ report on the Genworth Annual Statements, all within sufficient time to enable Genworth to meet its timetable for the printing, filing and public dissemination of the Genworth Annual Statements. If for any reason the Genworth Auditors are unable to use or rely on the Company Auditors, the Company agrees to provide any and all information requested and to fully cooperate with the Genworth Auditors, all within sufficient time to enable Genworth to meet its timetable for the printing, filing and public dissemination of the Genworth Annual Statements. Until the Trigger Date, if the Genworth Auditors identify, in any management letter or other correspondence in connection with the annual audit of Genworth, any issue with the accounting principles, any proposed adjustment or any similar area of concern with respect to the Company Group, Genworth shall promptly inform the Company and provide the Company with an excerpt of the applicable portions of such management letter or correspondence.

The Company will request the Company Auditors to make available to the GE Auditors both the personnel who performed or are performing the annual audit of the Company and, consistent with customary professional practice and courtesy of such auditors with respect to the furnishing of work papers, work papers related to the annual audit of the Company, in all cases within a reasonable time before the Company Auditors’ opinion date, so that the GE Auditors are able to perform the procedures they consider necessary to take responsibility for the work of the Company Auditors as it relates to the GE Auditors’ report on the GE Annual Statements, all within sufficient time to enable GE to meet its timetable for the printing, filing and public dissemination of the GE Annual Statements. If the GE Auditors identify, in any management letter or other correspondence in connection with the annual audit of GE, any issue with the accounting principles, any proposed adjustment or any similar area of concern with respect to the Company Group, GE shall promptly inform the Company and provide the Company with an excerpt of the applicable portions of such management letter or correspondence.

OWW will authorize the OWW Auditors to make available to the Travelport Auditors both the personnel who performed or are performing the annual audit of OWW and, consistent with customary professional practice and courtesy of such auditors with respect to the furnishing of work papers, work papers related to the annual audit of OWW, in all cases within a reasonable time after the OWW Auditors opinion date, so that the Travelport Auditors are able to perform the procedures they consider necessary to take responsibility for the work of the OWW Auditors as it relates to the Travelport Auditors’ report on the Travelport Annual Statements, all within sufficient time to enable Travelport to meet its timetable for the printing, filing and public dissemination of the Travelport Annual Statements.

The Company will request the independent certified public accountants of the Company (the “Company Auditors”) to make available to the independent certified public accountants of Xxxxxxx Parent (the “Xxxxxxx Auditors”) both the personnel who performed or are performing the annual audit of the Company and, consistent with customary professional practice and courtesy of such auditors with respect to the furnishing of work TABLE OF CONTENTS papers, work papers related to the annual audit of the Company, in all cases within a reasonable time before the Company Auditors’ opinion date, so that the Xxxxxxx Auditors are able to perform the procedures they consider necessary to take responsibility for the work of the Company Auditors as it relates to the Xxxxxxx Auditors’ report on the Xxxxxxx Annual Statements, all within sufficient time to enable Xxxxxxx to meet its timetable for the printing, filing and public dissemination of the Xxxxxxx Annual Statements.
Access to Personnel and Working Papers. The Rio Tinto Parties and the Cloud Peak Parties will request that the Rio Tinto Auditors and the Cloud Peak Auditors, respectively, (i) make available to the other Parties' Auditors both the personnel who performed or are performing the annual audits of any member of the Cloud Peak Group or Rio Tinto Group, respectively, and (ii) consistent with customary professional practice and courtesy of the Rio Tinto Auditors and the Cloud Peak Auditors, respectively, with respect to the furnishing of work papers, work papers related to the annual audits of any member of the Cloud Peak Group or Rio Tinto Group, respectively, in all cases within a reasonable time prior to the opinion date for the other Parties' Auditors, so that such Auditors are able to perform the procedures they consider necessary to take responsibility for the work of the other Parties' Auditors, all within sufficient time to enable the applicable member(s) of the respective Groups to meet its timetable for the printing, filing and public dissemination of any public filing required by applicable Law (including the Rio Tinto Annual Report).

The Company will request the independent certified public accountants of the Company (the “Company Auditors”) to make available to the independent certified public accountants of Emerson Parent (the “Emerson Auditors”) both the personnel who performed or are performing the annual audit of the Company and, consistent with customary professional practice and courtesy of such auditors with respect to the furnishing of work papers, work papers related to the annual audit of the Company, in all cases within a reasonable time before the Company Auditors’ opinion date, so that the Emerson Auditors are able to perform the procedures they consider necessary to take responsibility for the work of the Company Auditors as it relates to the Emerson Auditors’ report on the Emerson Annual Statements, all within sufficient time to enable Emerson to meet its timetable for the printing, filing and public dissemination of the Emerson Annual Statements.

The Company will request the Company Auditors to make available to the Dufry AG Auditors both the personnel who performed or are performing the annual audit of the Company and, consistent with customary professional practice and courtesy of such auditors with respect to the furnishing of work papers, work papers related to the annual audit of the Company, in all cases within a reasonable time after the Company Auditors’ opinion date, so that the Dufry AG Auditors are able to perform the procedures they consider necessary to take responsibility for the work of the Company Auditors as it relates to the Dufry AG Auditors’ report on Dufry AG’s audited annual financial statements, all within sufficient time to enable Dufry AG to meet its timetable for the printing, filing and public dissemination of the Dufry AG’s annual report.
Access to Personnel and Working Papers. Agency Markets will authorize the Agency Markets Auditor to make available to the Liberty Mutual Auditors both the personnel who performed or are performing the annual audit of Agency Markets and, consistent with customary professional practice and courtesy of such auditors with respect to the furnishing of work papers, work papers related to the annual audit of Agency Markets, in all cases within a reasonable time after the Agency Markets Auditors’ opinion date, so that the Liberty Mutual Auditors are able to perform the procedures they consider necessary or appropriate to take responsibility for the work of the Agency Markets Auditors as it relates to the Liberty Mutual Auditor’s report on the Liberty Mutual Annual Statements, all within sufficient time to enable Liberty Mutual to meet its timetable for the printing, filing and public dissemination of the Liberty Mutual Annual Statements.

The Company will authorize the Company Auditors to make available to the AMHC Auditors both the personnel who performed or are performing the annual audit of the Company and, consistent with customary professional practice and courtesy of such auditors with respect to the furnishing of work papers, work papers related to the annual audit of the Company, in all cases within a reasonable time after the Company Auditor's opinion date, so that the AMHC Auditors are able to perform the procedures they consider necessary to take responsibility for the work of the Company Auditors as it relates to the AMHC Auditors' report on the AMHC Annual Statements, all within sufficient time to enable AMHC to meet its timetable for the printing, filing and public dissemination of the AMHC Annual Statements.
