Approval of Agreement. The Board of Directors of the Company has authorized the execution and delivery of this Agreement by the Company and has approved this Agreement and the transactions contemplated hereby.
Approval of Agreement. The Agreement is approved, and subject to its provisions shall operate and take effect.

The parties hereto acknowledge and agree that the obligations of the Trust, the Adviser, and the Subadviser under this Agreement shall be subject to the following condition precedent: this Agreement shall have been approved by the vote of a majority of the Trustees, who are not interested persons of the Trust, the Adviser or the Subadviser, at a meeting called for the purpose of voting on such approval.

Approval of Agreement. No meeting of, or consent by, holders of Interests (as defined below) of the Master Fund is necessary to approve the issuance of Interests to the Feeder Fund.

The Company has full corporate power, authority, and legal right and has taken, or will take, all action required by law, its articles of incorporation, bylaws, and otherwise to execute and deliver this Agreement and to consummate the transactions herein contemplated including the issuance of the shares of Common Stock. The board of directors of the Company has authorized and approved the execution, delivery, and performance of this Agreement and the transactions contemplated hereby including the issuance of the shares of Common Stock.
Approval of Agreement. The Board of Directors of Xodtec (the “Xodtec Board”) and the Xodtec Shareholders have authorized the execution and delivery of this Agreement by Xodtec and have approved this Agreement and the transactions contemplated hereby.
Approval of Agreement. The board of directors of InvestCo (the “InvestCo Board”) has authorized the execution and delivery of this Agreement by InvestCo and has approved the Transactions. Copies of said consent resolutions are attached hereto as Schedule 3.8.
Approval of Agreement. The Board of Directors of Seller has authorized the execution and delivery of this Agreement and the other Transaction Documents by Seller and has approved this Agreement and the transactions contemplated hereby.
