Material Contact. “Material Contact” means (i) any personal or direct contact the Executive had with any Customer, (ii) the Executive’s supervision of others who had direct or personal contact with any Customer or (iii) the supervision, by a person subject to the Executive’s supervision, of others who had personal contact with any Customer, in each case for the purpose of selling or offering for sale any product or service.

Material Contact. For purposes of this Agreement, “material contact” exists between Employee and each client or actively sought prospective client of Company with whom Employee personally interacts on behalf of Company, whether such interaction is conducted in person, in writing, by telephone or by other form of communication.
Material Contact. For purposes of this Agreement, “Material Contact” shall have the meaning set forth in O.C.G.A. § 13-8-51(10), which includes contact between an employee and each customer or potential customer: with whom or which the Executive dealt on behalf of the Company; whose dealings with the Company were coordinated or supervised by the Executive; about whom the Executive obtained Confidential Information in the ordinary course of business as a result of Executive’s association with the Company; or who receives products or services authorized by the Company, the sale or provision of which results of resulted in compensation, commissions, or earnings for the Executive within two years prior to the Executive’s Termination Date.
Material Contact. For the purposes of Sections 7 and 8 of this Agreement, "material contact" exists between Employee and each customer or potential customer: (i) with whom Employee dealt; (ii) whose dealings with the Company were coordinated or supervised by Employee; or (iii) about whom Employee obtained Confidential Information in the ordinary course of business as a result of Employee's performance of his duties and responsibilities hereunder and in the case of each of clauses (i), (ii) and (iii) above, such occurrence was within two (2) years prior to the date of termination of Employee's employment with the Company.
Material Contact. It is agreed that for purposes of this Paragraph 6, a “material contact” exists between the Employee and any Customer or actively sought prospective Customer: (i) with whom the Employee dealt; (ii) whose dealings with the Company were coordinated or supervised by the Employee; (iii) about whom the Employee obtained confidential or proprietary business information or trade secrets in the ordinary course of business as a result of his/her association with the Company; or (iv) who receives products or services authorized by the Company, the sale or provision of which resulted in compensation, commissions or earnings for the Employee at or within two (2) years prior to the date of termination of this Agreement.
Material Contact. “Material Contact” means any Contractor (i) business dealings with the Customer or Potential Customer on SunTrust’s behalf, or (ii) possession of trade secrets or confidential business information about the Customer or Potential Customer as a result of Contractor’s association with SunTrust and which Contractor would not have obtained but for his association with SunTrust;

Material Contact. Contact between Executive and a Company customer or potential customer (i) with which Executive deals or has dealt on behalf of Company, (ii) whose dealings with Company are or were coordinated or supervised by Executive, (iii) about which Executive obtains or obtained Confidential Information in the ordinary course of business as a result of Executive’s association with Company, or (iv) that receives or received products or services authorized by Company, the sale or provision of which results or resulted in compensation, commissions, or earnings for Executive within twenty-four (24) months prior to the Termination Date.
Material Contact shall be deemed to mean any interaction during the twelve (12) months prior to the termination of Employee’s employment between Employee and any Company Client (i) with whom or which Employee dealt on behalf of the Company (ii) whose dealings with the Company were coordinated or supervised by Employee, or (iii) about whom Employee obtained Proprietary Information in the ordinary course of business as a result of Employee’s association with the Company.
