Compensation Recovery (Clawback). Any amounts of compensation paid or awarded to you under this Agreement shall be subject to compensation recovery (clawback) to the extent required by applicable law or regulations in the event the Company is required to prepare an accounting restatement due to the material noncompliance of the Company with any financial reporting requirements under the securities laws and the amounts received based on erroneous data was in excess of what would have been received by you had such noncompliance not occurred.
Compensation Recovery (Clawback). Notwithstanding anything in this Agreement to the contrary, any compensation payable to Executive under this Agreement that constitutes “Incentive Compensation” (as such term is defined under the Company’s Compensation Recovery Policy, as such policy may be amended from time to time (the “Compensation Recovery Policy”)) shall be subject to the terms and conditions of the Compensation Recovery Policy.
Compensation Recovery (Clawback). In the event that Recipient is subject to the Company’s Compensation Recovery Policy, as such policy may be amended from time to time (the “Compensation Recovery Policy”), notwithstanding anything in this Restricted Stock Agreement to the contrary, any Restricted Stock granted hereunder shall be subject to the terms and conditions of the Compensation Recovery Policy.
Compensation Recovery (Clawback). In the event that Recipient is subject to the Company’s Compensation Recovery Policy, as such policy may be amended from time to time (the “Compensation Recovery Policy”), notwithstanding anything in this Performance Share Award Agreement to the contrary, any Performance Shares granted, or Common Stock attributable to a Performance Share, hereunder shall be subject to the terms and conditions of the Compensation Recovery Policy.
Compensation Recovery (Clawback). Any amounts received under this Agreement shall be subject to recovery by the Company in accordance with Section 7 of the Company’s Executive Compensation Guidelines, a copy of which is available from the Company’s Secretary and incorporated herein by reference.
Compensation Recovery (Clawback). In the event that Optionee is subject to the Company’s Compensation Recovery Policy, as such policy may be amended from time to time (the “Compensation Recovery Policy”), notwithstanding anything in this Option Agreement to the contrary, any Options granted (or Option Shares vesting) hereunder shall be subject to the terms and conditions of the Compensation Recovery Policy.
Compensation Recovery (Clawback). The Award is subject to the requirements of (i) Section 954 of the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act (regarding recovery of erroneously awarded compensation) and any implementing rules and regulations thereunder (the “Xxxx Xxxxx Xxxxxxxx Rules”), and (ii) the Company’s Xxxx Xxxxx Clawback Policy and any other policies adopted by the Company to implement such requirements, all to the extent determined by the Company in its discretion to be applicable to the Participant. For the avoidance of doubt, if the Xxxx-Xxxxx Clawback Rules and any implementing policy apply to the Participant, then the Company may take action against this Award or any proceeds the Participant receives from it (including pursuant to the Consulting Agreement described herein) to recover any erroneously awarded compensation the Participant may have received from the Company (whether related to this Award or otherwise), all in accordance with the Xxxx-Xxxxx Xxxxxxxx Rules and the applicable implementing policy and subject to the requirements of applicable law.
Compensation Recovery (Clawback). If Participant is subject to any compensation recovery policy adopted by the Company, as such policy may be amended from time to time, this Agreement and the award of RSUs, the vesting of RSUs and issuance of Shares and the distribution or issuance of any Dividend Equivalents hereunder shall be subject to such policy and may require Participant to return or repay all or a portion of the RSUs, Shares or Dividend Equivalents issued or distributed to Participant hereunder.
