Company Uses in Holidays Clause

Holidays

Your employment shall commence on a date mutually agreed between you and the Company (currently anticipated to be August 27, 2013). No other previous employment will count as part of your continuous period of employment with the Company.

Holidays. You are entitled to twenty-five (25) days paid holiday in addition to the usual public holidays in the UK in each complete year of your employment. You are entitled to a pro rata proportion of such holiday entitlement in the calendar year of your joining and leaving the Companys employment. Holidays shall be paid at your normal rate of salary as set out above. You must agree your holiday leave in advance with the Company, subject to the Companys operational requirements. Your holiday entitlement will be deemed to accrue from day to day and may not be carried over from one holiday year to the next. The Company reserves the right to require you to take any outstanding holiday during any period of notice of termination of employment (whether given by you or the Company). No payment will be made in lieu of holiday accrued but not taken, save on termination of your employment. If, upon the termination of employment, the number of days of holiday which you have taken in the relevant year differs from your accrued entitlement, then a payment for the number of days difference will be either paid to you or refunded by you depending on whether the amount actually taken is less or greater than your entitlement and you hereby consent to the Company making a deduction from your final salary payment and/or other monies owed to you if you have taken more holiday than you have accrued. You will not be entitled to such a payment if the Company is entitled to, and does terminate your employment summarily or if you refuse to take any holiday entitlement during your notice period. The Companys holiday year runs from January 1st to December 31st.

This Executive Employment Agreement (this "Agreement") is made and effective this 9th day of December, 2013, by and between Grandparents.com, Inc., a Delaware corporation, having its principal office at 589 Eighth Avenue, 6th Floor, New York, NY 10018 (the "Company") and Mr. Lee Lazarus, residing at _____________________________ (the "Executive").

Holidays. The Executive will be entitled to the same holiday schedule as provided to other officers of the Company as set forth in the Company's employment benefits plan, as may be modified from time to time. The Company will notify the Executive on or about the beginning of each calendar year with respect to the holiday schedule for the coming year.

Holidays from Executive Employment Agreement

This Executive Employment Agreement (this "Agreement") is made as of the 3rd day of April, 2012 (the "Effective Date"), by and between Grandparents.com, Inc., a Delaware corporation having its principal office at 589 Eighth Avenue, 6th Floor, New York, NY 10018 (the "Company"), and Sara E. Breslau, an individual residing at 535 West 110th Street #71, New York, NY 10025 (the "Executive") (each, a "party" and, together, the "parties").

Holidays. The Executive will be entitled to the same holiday schedule as provided to other officers of the Company as set forth in the Company's employment benefits plan, as may be modified from time to time. The Company will notify the Executive on or about the beginning of each calendar year with respect to the holiday schedule for the coming year.

Holidays from Executive Employment Agreement

This Executive Employment Agreement (this "Agreement") is made and effective this 23rd day of February 2012, by and between NorWesTech, Inc., a Delaware corporation having its principal office at 589 Eighth Avenue, 6th Floor, New York, NY 10018 (the "Company") and Steve Leber, residing at 6181 Hollows Lane, Delray Beach, FL 33484 (the "Executive").

Holidays. The Executive will be entitled to the same holiday schedule as provided to other officers of the Company as set forth in the Company's employment benefits plan, as may be modified from time to time. The Company will notify the Executive on or about the beginning of each calendar year with respect to the holiday schedule for the coming year.

Holidays from Executive Employment Agreement

This Executive Employment Agreement (this "Agreement") is made and effective this 23rd day of February 2012, by and between NorWesTech, Inc., a Delaware corporation having its principal office at 589 Eighth Avenue, 6th Floor, New York, NY 10018 (the "Company") and Jeffrey Mahl (the "Executive").

Holidays. The Executive will be entitled to the same holiday schedule as provided to other officers of the Company as set forth in the Company's employment benefits plan, as may be modified from time to time. The Company will notify the Executive on or about the beginning of each calendar year with respect to the holiday schedule for the coming year.

Holidays from Executive Employment Agreement

This Executive Employment Agreement (this "Agreement") is made and effective this 23rd day of February 2012, by and between NorWesTech, Inc., a Delaware corporation having its principal office at 589 Eighth Avenue, 6th Floor, New York, NY 10018 (the "Company") and Joseph Bernstein, residing at 6663 Casa Grande Way, Delray Beach, FL 33446 (the "Executive").

Holidays. The Executive will be entitled to the same holiday schedule as provided to other officers of the Company as set forth in the Company's employment benefits plan, as may be modified from time to time. The Company will notify the Executive on or about the beginning of each calendar year with respect to the holiday schedule for the coming year.

Holidays from Executive Employment Agreement

This Executive Employment Agreement (this "Agreement") is made and effective this 23rd day of February 2012, by and between NorWesTech, Inc., a Delaware corporation having its principal office at 589 Eighth Avenue, 6th Floor, New York, NY 10018 (the "Company") and Matthew Schwartz (the "Executive").

Holidays. The Executive will be entitled to the same holiday schedule as provided to other officers of the Company as set forth in the Company's employment benefits plan, as may be modified from time to time. The Company will notify the Executive on or about the beginning of each calendar year with respect to the holiday schedule for the coming year.

Holidays from Employment Agreement

This Employment Agreement (the Agreement) is entered into on June 1, 2004 by and between Michael J. Stannard (the Executive) and Secure Risk Ltd., a limited liability company, registered in England and Wales, whose registered office is at 36 Alie Street, London E1 8DA United Kingdom, (Company), a wholly owned subsidiary of Universal Guardian Holdings, Inc., (the Parent) whose registered address is 3001 Redhill Avenue, Building 4, Suites 21-226, Costa Mesa, CA 92626 USA, with reference to the following facts:

Holidays. During Executive's employment under this Agreement, Executive shall receive paid holidays annually in accordance with the Company's practices for executive officers, as in effect from time to time, but in any event not less than 4 weeks per calendar year in addition to bank and other public holidays.
